Q2 revenue rose 6%, but first-half revenue fell 8%. Video revenue increased 16% in Q2 and 5% year to date, including TVN; Cable Edge revenue declined 24% in Q2 and 40% year to date. Q2 segment operating income was $0.5m for Video and a $0.5m loss for Cable Edge; first-half segment losses were $6.8m and $2.4m, respectively.

Gross margin contracted year over year. Management cited a roughly $4.5m inventory obsolescence charge on older Cable Edge products, lower Cable Edge and high-margin server revenue, and TVN’s lower gross margins. Operating expenses also rose, including acquisition-related amortization, restructuring, and integration costs.

Financial position and liquidity

  • At July 1, cash and cash equivalents were $51.5m and short-term investments were $13.8m, totaling $65.3m, down from $152.8m at December 31, 2015. Net accounts receivable was $102.7m.
  • Current assets were $247.9m and current liabilities $158.8m. Total assets were $588.0m; total liabilities were $296.0m.
  • Debt included $128.25m principal of 4.00% convertible notes due December 2020 (carrying value $100.7m) and $24.0m of TVN-assumed debt and capital leases. The company reported no financial covenants on the convertible notes; its JPMorgan credit agreement expired in February 2016 and was not renewed.
  • First-half cash declined $74.7m to $51.5m, primarily reflecting $73.0m of cash paid for TVN and $8.3m of operating cash use. The company said cash and short-term investments should fund expected needs for at least 12 months.

Material changes, outlook, and risks

  • TVN acquisition: Completed for a final reported purchase consideration of approximately $82.5m. TVN contributed $18.3m of Q2 revenue and $21.2m for the post-acquisition first-half period. Purchase accounting remained preliminary; acquired French R&D tax-credit receivables totaled about $23.1m and are subject to recovery and audit risks.
  • Restructuring and synergies: The company expected to spend $22m–$24m during 2016 on the 2016 restructuring plan and TVN acquisition/integration costs, and estimated $20m–$22m in synergies within two years. The restructuring was expected to take at least 12 months; a voluntary departure plan for TVN’s French employees was still under consultation.
  • Market and product outlook: Management described customer spending as soft amid technology transitions and delayed purchasing. Cable Edge demand was weakened as customers deferred legacy purchases ahead of DOCSIS 3.1/CCAP migration. First CableOS shipments were anticipated in Q4 2016. Management also cited continued development of software-centric video products and customer migration to IP workflows. The filing provides no consolidated revenue or earnings guidance.
  • Other unusual items: First-half interest expense increased with the convertible notes. A $1.5m impairment was recorded on the Vislink investment; the company warned that a further sustained share-price decline could cause another impairment. Goodwill was not impaired at July 1 despite market capitalization below book value, but the assessment relied on valuation assumptions.
  • Contingencies: Avid patent litigation remained unresolved, including a remanded Media Grid case and a Spectrum case scheduled for trial in November 2017. Harmonic said potential losses could not be reasonably estimated. The company also disclosed $22.4m of non-cancelable supplier purchase commitments and $57.7m of future operating lease payments.
  • Operating risks: Customer capital-spending delays, customer concentration, competitive and pricing pressure, execution of TVN integration and expected synergies, product-transition timing, supplier dependence, foreign-exchange exposure, and litigation could affect results. The ten largest customers represented 34% of first-half revenue.

Investor verification points

  • Track CableOS shipment timing and whether new-product demand offsets declining legacy Cable Edge sales.
  • Assess gross-margin recovery, inventory exposure, and the recurring versus acquisition-related components of expenses and cash use.
  • Verify TVN integration progress, realized synergies, final purchase accounting, and collection of French R&D tax credits.
  • Review liquidity against debt service, contractual commitments, and the company’s stated 12-month cash runway.
  • Monitor Avid litigation developments, Vislink impairment risk, and goodwill valuation assumptions.
