Third-quarter revenue increased 22%, led by Video growth; nine-month revenue was up 1%. Video revenue rose 27% in Q3 and 13% year to date, while Cable Edge revenue fell 12% and 35%, respectively. Nine-month Cable Edge weakness reflected customer deferrals ahead of DOCSIS 3.1 and CCAP transitions. The top ten customers generated 28% of Q3 and 30% of nine-month revenue; no customer exceeded 10% in either 2016 period.
Gross margin declined year over year, primarily due to TVN’s lower margins and acquired costs, acquired-intangible amortization, and unfavorable product mix. The nine-month margin also included a roughly $4.4 million inventory obsolescence charge for older Cable Edge products. Operating expenses rose, including higher R&D and SG&A, with TVN costs, integration expenses and CableOS development contributing.
Cash, liquidity and debt
- Cash and cash equivalents were $44.7 million, with $7.9 million in short-term investments, totaling $52.7 million at September 30, 2016, down from $152.8 million in cash and short-term investments at December 31, 2015.
- Operating cash flow was negative $12.9 million for the nine months, compared with positive $8.6 million a year earlier. Investing cash outflow was $68.4 million, including $75.7 million paid for TVN. Cash declined $81.4 million over the period.
- Management said available cash and short-term investments were expected to fund principal cash needs for at least 12 months. The filing also identifies possible future financing needs if expectations prove inaccurate or strategic opportunities arise.
- The company had $128.25 million principal amount of 4.00% convertible senior notes due December 2020; their balance-sheet carrying amount was $102.0 million. TVN-related debt and capital leases totaled $22.8 million. The prior JPMorgan credit agreement expired in February 2016 and was not renewed.

Outlook, risks and unusual items
- No specific consolidated revenue or earnings guidance is provided. Management anticipated first CableOS shipments in Q4 2016 and described ongoing softness as customers deferred purchases for next-generation architectures. Video customers were also cautious amid technology transitions and changing Pay-TV models.
- Management estimated $24–$25 million of annualized synergies from TVN integration and restructuring. Aggregate restructuring and TVN acquisition- and integration-related expenses were expected to be approximately $31–$33 million, primarily in 2016. A French voluntary departure plan was expected to generate about $11 million of termination benefits, to be expensed in Q4 2016 and the first three quarters of 2017.
- The company recorded $2.7 million of 2016 impairment charges on its Vislink investment, including $1.3 million in Q3, citing a prolonged share-price decline and adverse financial and liquidity conditions at Vislink.
- TVN purchase accounting remained preliminary, including estimates for acquired assets, liabilities, taxes and goodwill. The company reported $239.9 million of goodwill and said its July 2016 impairment assessment found no impairment, despite market capitalization below book value at that time.
- Risks include dependence on customer capital spending, customer concentration, competitive and pricing pressure, delayed adoption or execution of new products, and TVN integration and realization of expected synergies. Foreign exchange, supplier concentration, international operations, and potential dilution or cash demands from convertible notes also pose risks.
- Two Avid patent cases remain relevant: one was remanded for a new infringement trial with no deadlines then set; the other had a trial date of November 6, 2017. The company said it could not estimate reasonably possible losses. The filing also reports tax audits and $15.1 million of gross unrecognized tax benefits, including interest and penalties.
- A Comcast product-supply agreement included a warrant for up to 7.82 million shares at $4.76 per share, subject to vesting conditions. The vested portion was valued at $1.6 million and treated as a customer incentive; future sales and warrant vesting could affect revenue and dilution.
