Quarterly revenue declined 17% year over year, while management and advisory fees rose 18% and incentive fees fell substantially. Quarterly expenses declined 15% to $71.3 million, primarily because incentive-fee compensation and bonus accruals were lower. The effective tax rate was 2.8% for the quarter versus 21.2% a year earlier; the filing attributes the difference primarily to a reduced valuation allowance and discrete tax adjustments. FRE and Adjusted EBITDA are company-defined non-GAAP measures.

For the six-month period, operating cash flow was $135.6 million, versus $155.9 million. Investing cash outflow was $85.0 million, versus $60.7 million, and financing cash inflow was $67.7 million, versus a $46.0 million outflow. Cash and cash equivalents were $128.1 million at September 30, 2023, compared with $99.7 million at March 31; this balance excludes restricted cash and cash held by consolidated VIEs. Fee-earning AUM increased $4.1 billion over the six months.

At September 30, total debt carrying value was $197.3 million, versus $213.5 million at March 31. Principal debt outstanding was $198.1 million, including a $98.1 million floating-rate term loan and a $100 million fixed-rate facility. The company reported $127 million available under its loan agreements. Lease liabilities were $80.9 million. Total equity was $781.6 million.

Material changes and management commentary

  • Quarterly management and advisory fee growth was driven mainly by specialized funds, including its latest secondary fund and evergreen funds, as well as new and expanded separate-account mandates. The quarter included $6.1 million of retroactive fees from the latest secondary fund; the six-month total was $8.8 million.
  • The reduction in incentive fees reflected lower fees from specialized funds compared with the prior-year periods. The prior-year comparisons also benefited from a $9.8 million joint-venture sale gain in the quarter and $6.7 million of technology-investment unrealized gains over the prior-year six months.
  • Equity income from investees improved year over year, with management citing gains from public-market valuations. Such investment-related results can fluctuate with underlying valuations.
  • Management said it expects to meet short- and long-term liquidity needs through operating cash flow, existing cash and potential external financing. The filing provides no specific earnings or revenue guidance. Management intends to continue quarterly dividends subject to board approval and legally available funds; a $0.445-per-share dividend was declared November 7, 2023, payable January 5, 2024.

Risks, contingencies and unusual items

  • Management identified market, investment-performance, fundraising, competition, regulatory, employee-retention, client-funding, counterparty, liquidity and debt-covenant risks. A 100-basis-point increase in interest rates was estimated to raise interest expense by approximately $1.0 million over the next 12 months.
  • Unrecognized carried interest subject to contingencies was $1.151 billion at September 30, 2023, net of amounts attributable to non-controlling interests. If received, up to $287.7 million could potentially be payable to employees and third parties under related compensation arrangements; these amounts were not recorded because payment was not yet probable.
  • The company reported $231.7 million of aggregate unfunded commitments to Partnerships and $153.9 million of remaining unfunded commitments from general-partner entities to nonconsolidated VIEs. Maximum exposure to loss related to nonconsolidated VIEs was $238.4 million.
  • Management said pending or threatened legal matters were not believed probable to materially affect the financial statements. No material changes to previously disclosed risk factors were reported. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • How much of fee growth is recurring, and how much depends on retroactive fees or fundraising in particular funds?
  • Whether incentive fees and investment gains recover, and how this affects revenue, compensation expense and reported earnings.
  • The sustainability of cash generation after investment commitments, dividends, member distributions, debt service and other obligations.
  • Availability and terms of credit facilities, floating-rate exposure, debt covenants and the company’s ability to meet unfunded commitments.
  • The valuation assumptions and realizability of investments, unrecognized carried interest, and the potential associated compensation obligations.
