Revenue rose 37.7%; orders increased 48.2% to approximately 5.75 million. Management attributed growth to operating-model maturity and order growth, while noting competitive pricing and discounts limited revenue growth relative to order volume. Gross margin narrowed, and operating and net losses widened. Selling and marketing expense, including shipping and platform-related costs, was the largest operating expense. The filing reports shipping and handling expense of $31.2 million, up from $21.1 million.
Inventory was $14.3 million, down from $18.8 million. Total liabilities were $15.1 million and stockholders’ equity was $4.5 million at year-end. Borrowings included $4.17 million due to related parties, under a 5.5% loan extended to December 31, 2024, and $652,422 under a Taishin bank line at 3.2%, due August 30, 2024. The Bank of America loan principal was zero; $27,996 of deferred interest remained payable. Accounts payable and credit-card payables totaled $8.2 million. No off-balance-sheet financing arrangements were reported.
Material changes and liquidity
- Operating cash outflow improved by $9.5 million year over year, chiefly reflecting a $3.8 million cash inflow from inventory changes versus a $12.4 million inventory-related outflow in 2022. The company nevertheless ended 2023 with lower cash and continued operating losses.
- Operating expenses increased 36.6%, with management citing higher revenue-linked Amazon/platform fees and FBA fee changes. Cost of goods sold increased by $18.7 million.
- The auditor issued an unqualified opinion on the financial statements but included a going-concern paragraph: operating cash outflow and net loss raise substantial doubt about the company’s ability to continue as a going concern.
- Management cited cost controls, sales and profitability initiatives, anticipated renewal of related-party borrowings, and majority-stockholder funding if needed; it stated it believes working capital can support operations for more than 12 months. These plans do not remove the auditor’s stated uncertainty.
Outlook, risks and unusual items
- Management says its 2024 priority is profit generation and cash flow rather than aggressive revenue growth, with more selective purchasing. It expects product costs to decline and competition to ease; these are expectations, not guarantees.
- Headcount commentary is inconsistent: one section anticipates headcount remaining flat or declining slightly through attrition, while another anticipates an increase to approximately 250 in 2024 from 178 at year-end 2023.
- Amazon dependence is a key risk: the filing says approximately 99% of 2023 revenue was through or with Amazon in one section, but the financial-statement note reports approximately 96%. Nearly all receivables were due from Amazon, typically collected in under seven days. Amazon platform access, fees, fulfillment, pricing and reimbursement policies could materially affect results.
- Sales returns were 6.45% of gross sales, versus 5.78% in 2022; the year-end refund liability increased to $708,629 from $285,009. The company also reported $288,466 of estimated sales taxes, penalties and interest owed and targeted completion of historical filings in 2024.
- The company disclosed limitations in inventory-cost tracking and reliance on spreadsheets for period-end accounting, which could cause reporting errors or delays. Management nevertheless concluded internal control over financial reporting was adequate in material respects; the auditor did not provide an internal-control opinion.
- Sam Lai and Maggie Yu, who are married, collectively held approximately 95% of voting power as of March 26, 2024. The company uses controlled-company exemptions from certain Nasdaq governance requirements. The filing reports no material pending litigation.
Important facts for investors to verify
- Reconcile the conflicting Amazon revenue concentration figures (99% versus 96%) and clarify the applicable sales-channel definitions.
- Assess near-term liquidity, cash needs, and the status or renewal of the Taishin facility and related-party loan, both due in 2024.
- Track progress on profitability and operating cash flow, particularly Amazon fees, shipping costs, gross margin, inventory levels and returns.
- Confirm the 2024 headcount plan and whether management’s stated focus on profitability is consistent with planned hiring and purchasing.
- Monitor completion of historical sales-tax filings and remediation of inventory-tracking and month-end accounting limitations.
