Selling and marketing expense was $42.22 million, including $21.15 million of shipping and handling costs. Net loss per share was $0.04.

Operating cash outflow reflected a $12.42 million increase in inventory and was partly offset by higher accounts payable. Year-end inventory was $18.80 million, up from $7.04 million; its allowance rose to $842,263 from $184,720. Investing cash outflow was $339,518. Financing provided $5.92 million, primarily from the IPO.

Liquidity, debt and material changes

  • Current assets were $24.46 million and current liabilities $14.50 million; cash declined by $6.03 million during the year.
  • At year-end, the company owed related parties $4.33 million. A $4.17 million subordinated loan from CEO Sam Lai and SVP Maggie Yu was extended to December 31, 2024, with interest increased from 2% to 5.5%. The filing also reports $120,003 accrued interest on that loan.
  • Flywheel had $652,316 outstanding on its Taishin credit line at 2.6%, maturing August 30, 2023. The Bank of America loan principal was repaid; $27,996 deferred interest remained outstanding.
  • The January 2022 IPO raised $6.9 million gross and $6.16 million net of stated offering expenses. The cash-flow statement separately shows $5.58 million proceeds from share issuance and $576,168 related to prepaid IPO costs.
  • Estimated sales taxes, including penalties and interest, were $288,466 at year-end. The company said it aimed to complete historical filings in all jurisdictions in 2023.

Outlook, risks and unusual items

  • Management said it did not expect “tremendous growth” in 2023 and planned to prioritize consistent profits and cash flow, be more selective in purchasing inventory, and allow headcount to decline slightly through attrition. It expected product costs to fall and competition to ease.
  • The independent auditor issued an unqualified opinion on the financial statements but included a going-concern paragraph: operating cash outflow and net loss raised substantial doubt about the company’s ability to continue as a going concern. Management cited cost controls, profitability initiatives and expected renewal of related-party borrowing, and represented that working capital would support operations for more than 12 months. This differs from other filing language stating there was no material uncertainty casting substantial doubt.
  • Amazon concentration is a central risk: the filing says 100% of revenue in both 2022 and 2021 was through or with Amazon. Platform access, pricing, fulfillment and storage fees, and Amazon reimbursements can affect results.
  • The filing flags inventory accounting and reporting risks: inventory tracking and period-end close relied on spreadsheets outside QuickBooks, and prior-period unit costs were not operationalized at SKU level. The company planned system improvements over the following nine months.
  • Other notable risks include seasonal inventory needs, vendor and supply-chain disruption, competition and labor costs. The CEO and SVP are spouses and together controlled approximately 95% of voting power as of March 31, 2023; the company uses controlled-company governance exemptions.

Investor verification priorities

  • Reconcile the going-concern disclosures and assess liquidity after the sharp operating cash outflow and inventory build.
  • Verify inventory quantities, valuation, aging and the adequacy of the inventory allowance, given the disclosed system limitations.
  • Review the timing and terms of the Taishin credit-line maturity and the related-party loan, including accrued interest and any renewal or repayment developments.
  • Confirm the status and potential exposure of historical sales-tax filings and the $288,466 accrued estimate.
  • Assess the company’s dependence on Amazon and whether its stated 2023 focus on profitability and cash flow was achieved.
