  • Revenue came entirely from the Jazz Pharmaceuticals collaboration. 2023 revenue included a $4.2 million cumulative catch-up following the addition of a $5.0 million variable payment to the collaboration transaction price.
  • Research and development expense fell $12.0 million, mainly reflecting lower manufacturing and contract research costs; increased clinical-trial, personnel and laboratory costs partly offset the decline. General and administrative expense was essentially unchanged.
  • Calculated operating loss and net loss were approximately 203% and 187% of revenue, respectively, in 2023; the company remains loss-making and expects losses to continue.
  • Cash and cash equivalents were $134.3 million at year-end, with $21.0 million in non-current restricted cash; total cash, cash equivalents and restricted cash were $155.6 million. At least $20.0 million is subject to the lender’s cash covenant.
  • Operating cash use was $32.6 million. Investing activities used $0.8 million; financing provided $58.4 million, including a $40.0 million term-loan draw and $18.3 million net ATM proceeds. Cash and restricted cash increased $25.0 million.
  • Term-loan principal was $40.0 million, with a $39.3 million net carrying amount at year-end. Interest is floating at the greater of 0.5% above prime or 4.5%. Interest-only payments run through August 31, 2024, followed by scheduled principal payments; maturity is August 31, 2026. The debt is secured by personal property, excluding intellectual property, and includes restrictive covenants.
  • Management said year-end cash was expected to fund operations and capital expenditures for at least 12 months from the March 7, 2024 financial-statement issuance date. Including $17.7 million of gross ATM proceeds received through March 1, 2024, management estimated funding through at least the second quarter of 2025. It also cautioned that forecasts rely on assumptions and cash will not fund full development of the candidates.

Business developments, outlook and risks

  • WTX-124: In a Phase 1/1b trial as monotherapy and with pembrolizumab. Preliminary monotherapy results in 16 heavily pretreated patients across four dose cohorts were described as generally well tolerated through 12 mg, with no Grade 3 or higher treatment-emergent adverse events reported. Dose escalation was ongoing. The company expected updated monotherapy data, dose selection and expansion, and initial combination data in the first half of 2024.
  • WTX-330: Phase 1 dose escalation for immunotherapy-resistant advanced or metastatic solid tumors or lymphoma was ongoing. Initial data were expected in the second quarter of 2024.
  • JZP898: Jazz holds exclusive global development and commercialization rights to the IFN-alpha candidate. Jazz received FDA IND clearance in 2023 and initiated a Phase 1 trial in the fourth quarter. Werewolf may receive up to $515 million in development and regulatory milestones, up to $740 million in sales-based milestones, and tiered mid-single-digit royalties, subject to agreement terms; these are contingent, not assured proceeds.
  • Earlier pipeline: WTX-712 (IL-21) and WTX-518 (IL-18) were preclinical candidates. Preclinical data for both were expected in the first half of 2024.
  • Key risks: Clinical benefit and safety remain unproven; trials may be delayed, fail or require additional spending. The company depends on third parties for clinical research and manufacturing and has no clinical-scale manufacturing, sales or commercialization capabilities. It expects to need additional financing, which may dilute shareholders or require unfavorable partnerships. Competition, intellectual-property exposure, regulatory and reimbursement uncertainty, and debt covenants also pose risks.
  • Financial controls: Management concluded that internal control over financial reporting and disclosure controls were not effective at December 31, 2023 because of a material weakness in purchasing controls, including invoice-to-purchase-order matching and estimates of open purchase orders. Remediation was underway but not yet demonstrated effective. The audited financial statements received an unqualified opinion; the auditor did not opine on internal-control effectiveness.
  • The company reported no material legal proceedings. A $1.6 million lender success fee was paid in 2023 after the required financing milestone was reached.

Important facts for investors to verify

  • Check subsequent WTX-124 and WTX-330 trial disclosures against the 2024 milestones management forecast; projections are not guarantees.
  • Verify the WTX-124 preliminary-data cutoff: the filing describes data collected as of October 18, 2023, but separately refers to an efficacy-evaluation cutoff of November 1, 2024, a date inconsistent with the March 2024 filing. The filing text does not clarify this discrepancy.
  • Track cash burn, ATM share issuance and dilution, the restricted-cash covenant, and the debt’s principal-payment schedule beginning after the interest-only period.
  • Assess whether Jazz achieves development milestones and advances JZP898; milestone and royalty amounts are conditional and may not be received.
  • Monitor remediation and testing of the purchasing-control material weakness, as well as any resulting reporting or restatement developments.
