At June 30, 2023, cash and cash equivalents were $137.452m; restricted cash was $21.223m, including $20.0m required to remain in Pacific Western Bank accounts under the loan covenant. Total assets were $185.235m, total liabilities $66.636m, and stockholders’ equity $118.599m. Term-loan principal was $40.0m ($39.142m net carrying amount); interest is floating-rate, with interest-only payments through August 31, 2024 and maturity on August 31, 2026.
For the first half, operating cash use was $20.819m, investing cash use $0.350m, and financing cash provided $49.315m, principally from the $40.0m loan draw and ATM share sales. Cash, cash equivalents and restricted cash rose by $28.146m to $158.675m. The filing does not report a meaningful product gross margin; revenue was collaboration revenue.
Material changes versus the prior comparable period
- Q2 collaboration revenue increased $3.933m year over year; first-half revenue increased $8.397m. The revenue reflects Jazz agreement upfront-payment recognition and reimbursable research costs, not product sales.
- Q2 R&D expense fell $4.304m, mainly from lower manufacturing costs, including favorable purchase-order closeout adjustments, and lower contract research costs. First-half R&D fell $3.543m, primarily due to lower manufacturing expense, partly offset by higher personnel, laboratory and clinical-trial costs.
- First-half net loss narrowed by $12.857m. Higher collaboration revenue, lower operating expenses and higher interest income contributed; the comparison was partly offset by a $1.030m fair-value loss on the loan success-fee liability.
- First-half operating cash use increased by $6.565m, principally because deferred revenue decreased in 2023 while it increased in the prior-year period following the Jazz upfront payment.
- Werewolf drew the full $40.0m term loan in March 2023 and issued shares through its ATM program. Shares outstanding increased to 35.642m at June 30, 2023 from 31.434m at year-end 2022.
Outlook, management commentary, risks and unusual items
- Management expects existing cash and cash equivalents, together with anticipated collaboration revenue, to fund operating and capital needs through at least Q4 2024. This estimate is based on assumptions and may prove inaccurate. Additional funding will be needed beyond that period and to complete development of the candidates.
- Management expects substantial expenses and losses to continue, with R&D spending expected to increase as WTX-124 and WTX-330 trials advance and WTX-712 preclinical work proceeds.
- WTX-124 is in a Phase 1/1b trial as monotherapy and with pembrolizumab; initial data were anticipated in Q4 2023. WTX-330 is in a Phase 1 trial. Jazz received FDA IND clearance for JZP898 in July 2023, after the reporting date.
- The Jazz agreement provides eligibility for up to $520m in development and regulatory milestones, up to $740m in sales-based milestones, and tiered mid-single-digit royalties. None had been received by June 30, 2023; milestone and royalty revenue is uncertain.
- On April 17, 2023, the company met a $50m funding milestone under its loan agreement, triggering the $20m minimum-cash covenant, extension of the amortization date to August 31, 2024, and payment of a $1.6m success fee. The associated fair-value remeasurement resulted in $1.030m of first-half other expense.
- Key risks include clinical and regulatory uncertainty, manufacturing and third-party dependence, need for additional capital, potential dilution, and loan covenants. The company reported a material weakness in purchasing controls: invoice matching to purchase orders and estimates of progress and expenses on open orders. Management deemed disclosure controls and internal control over financial reporting ineffective at June 30, 2023; remediation was underway, with no restatement reported.
Important facts for investors to verify
- Whether WTX-124 and WTX-330 trial progress, enrollment, safety findings and anticipated data timing remain on track.
- Whether the stated runway through at least Q4 2024 remains achievable, considering operating cash use, restricted cash and future development costs.
- Compliance with the $20m minimum-cash covenant and the loan’s floating interest rate, covenants and repayment schedule.
- Progress under the Jazz collaboration, including reimbursable activity and any future milestones or royalties; potential payments are not assured.
- Remediation and independent validation of the purchasing-control material weakness, and whether further control deficiencies emerge.
