ImmuCell Corporation — Q2 2013 Form 10-Q
Business context and period. The unaudited filing covers the quarter and six months ended June 30, 2013. ImmuCell develops and sells animal-health products for the dairy and beef industries, led by First Defense, and is developing Mast Out, a treatment for subclinical mastitis. Comparisons below are with the corresponding 2012 periods unless noted.
Financial performance and position
- Revenue: Product sales were $1.366 million in Q2, up 16%, and $3.213 million for the first half, up 11%. First Defense sales increased 26% in Q2 and 13% for the first half. Domestic first-half sales rose about 13%; international sales rose about 3%.
- Profit and margins: Q2 gross margin was $784,000, or 57% of sales, unchanged as a percentage year over year. Operating income was $23,722 versus $37,397; net income was $6,452 versus $15,187. - Expenses: First-half product development expense increased 17% to $538,338; sales and marketing expense increased 8% to $467,271. Management attributed improved first-half results largely to higher First Defense gross margin.
- Cash flow and liquidity: First-half operating cash flow was $935,453 versus $318,813. Capital expenditures were $83,410 versus $236,953, and debt principal repayments were $89,535. Combined cash and short-term investments totaled $5.676 million, up $763,000. Net working capital was approximately $7.107 million, up 6% from year-end. A debt covenant requires at least $1 million of unrestricted cash, cash equivalents and short-term investments.
- Debt and balance sheet: Bank debt totaled approximately $1.179 million, down from $1.268 million at December 31, 2012; substantially all assets secure the facilities. The $500,000 line of credit was available and extended through May 31, 2014. Total assets were $11.375 million and stockholders’ equity $9.446 million at June 30.
Material changes, outlook and risks
- Q2 sales growth did not translate into higher quarterly operating or net income, as operating expenses rose. First-half profitability improved year over year.
- Management expected 2013 to be modestly profitable and cited gross margin and net operating income as important indicators. It targeted a full-year gross margin above 50% and sales-and-marketing expense of up to 20% of sales.
- In Q2, ImmuCell received a $250,000 exclusive option payment from a prospective Mast Out partner, recorded as deferred revenue. After the quarter, the partner declined to enter a license following due diligence. The company said it would recognize the payment as revenue in Q3 and write off $47,604 of capitalized Mast Out development costs. Management also said it had suspended active partner pursuit for the present time and would continue regulatory work independently.
- Mast Out remained subject to FDA review. The company expected the Human Food Safety technical-section completion letter in Q4 2013; the Chemistry, Manufacturing and Controls submission had been withdrawn for revision, with further submissions anticipated. Large-scale Nisin API manufacturing remained a funding and commercialization challenge; the company was evaluating a possible small-scale pathway.
- Management said the FDA’s first-quarter 2013 facility inspection was favorable, with only a few minor observations. It reported compliance with bank covenants and effective disclosure controls as of June 30.
- Key risks include dependence on First Defense and a small number of distributors, dairy and beef industry economics, competition, product-development and regulatory uncertainty, and the financing and manufacturing requirements for Mast Out. Two distributors accounted for 53% of first-half sales; 42% of receivables was due from those two distributors.
