Material changes versus the prior comparable period
- Revenue growth accelerated: net revenue increased 17.9% in 2012, compared with 5.1% in 2011.
- Operating performance recovered materially from 2011. The company reported $5.6 million of restructuring and other charges in 2012, compared with $9.8 million in 2011; 2012 charges included $4.5 million of restructuring costs and $1.1 million related to former CEO Peter Gray’s retirement.
- Operating cash flow increased substantially, supported by higher operating income and lower days revenue outstanding. Cash and cash equivalents nevertheless declined $5.2 million during 2012, as acquisitions, capital expenditure and investment purchases consumed cash.
- ICON acquired PriceSpective and BeijingWits in 2012. The acquisitions contributed $21.0 million of net revenue during the year; year-end contingent acquisition consideration was $45.9 million.
- Backlog increased to approximately $2.8 billion from $2.3 billion, but the company cautions that backlog may be cancelled, delayed or convert to revenue more slowly.
- Customer concentration increased: the top five customers represented 48% of net revenue, versus 37% in 2011. Two customers contributed 18% and 12%, respectively.
Outlook, commentary, risks and unusual items
- Management expected approximately $30 million of investment over the next 12 months in IT, facility expansion and new offices, and believed foreseeable needs could be funded from operating cash flow, cash balances and available credit. No quantified revenue or earnings guidance is provided in the filing.
- Management’s strategy emphasizes global scale, strategic client partnerships, broader services, acquisitions, operating efficiency and technology platforms. It cited continued outsourcing as a potential growth driver, while noting cost pressures on clients and CROs.
- Key risks include reliance on a concentrated group of customers; fixed-fee contract overruns; client project cancellations or delays; dependence on patient and investigator recruitment and qualified employees; backlog conversion; currency and tax variability; acquisition integration and contingent consideration; and regulatory, clinical-trial liability, cybersecurity and data-protection exposures.
- ICON reported no litigation expected to have a material adverse effect and no goodwill impairment in 2012. The company stated it had no current intention to pay cash dividends in the foreseeable future.
- After year-end, ICON acquired Cross Country Healthcare’s Clinical Trial Services Division on February 15, 2013 for initial cash consideration of $51.9 million, with up to $3.75 million of additional milestone consideration. - KPMG issued an unqualified opinion on the financial statements and an unqualified opinion on the effectiveness of internal control over financial reporting as of December 31, 2012.
