Revenue by product line

  • Infusion Consumables: Q2 $136.2 million, up 22.7%; first half $262.6 million, up 12.0%. Drivers included recovery from lower hospital census in Q2 2020, oncology and renal product growth, and foreign exchange.
  • Infusion Systems: Q2 $84.7 million, down 7.0%; first half $169.0 million, down 5.8%. The comparison reflected higher pandemic-related large-volume pump purchases in 2020 and weakness in the non-large-volume pump business.
  • IV Solutions: Q2 $88.4 million, down 0.9%; first half $182.6 million, down 5.6%. Lower Pfizer contract-manufacturing sales and prior-year customer stocking affected results.
  • Critical Care: Q2 $12.4 million, up 2.5%; first half $25.6 million, up 4.1%, primarily reflecting foreign exchange.

Liquidity, debt and capital

  • Cash and cash equivalents were $462.0 million at June 30, 2021, compared with $396.1 million at year-end 2020. Cash plus short- and long-term investment securities totaled $492.4 million, up $68.6 million from year-end.
  • Current assets were $973.4 million and current liabilities $183.7 million. The company reported no borrowings and $150.0 million available under its revolving credit facility, which matures November 2022; it was in compliance with financial covenants.
  • First-half investing cash use was $36.7 million, including $29.7 million of property and equipment purchases. Management estimated 2021 capital expenditures of $70–$80 million, expected to be funded from cash.
  • Inventory declined to $299.6 million from $314.9 million at year-end. The $100 million share-repurchase authorization remained unused at June 30; no shares were repurchased in Q2.

Material changes, outlook and risks

  • SG&A increased 10.0% in Q2 to $73.9 million, reflecting higher compensation, distributor fees and stock compensation. First-half restructuring, strategic transaction and integration costs declined to $6.6 million from $18.8 million.
  • COVID-19 continued to affect operations. Management said the duration and financial impact remained uncertain; facilities continued operating under business-continuity and safety measures. Management expected existing cash and future operating cash flow to fund operations for at least the next 12 months.
  • No specific revenue or earnings guidance was provided in the supplied filing text. The filing includes the $70–$80 million capital expenditure estimate and expects substantially all $3.7 million of equipment/software implementation-related remaining performance obligations to be recognized within three to six months, subject to implementation restrictions related to COVID-19.
  • Pfizer/HIS earn-out arbitration: Pfizer disputes ICU Medical’s determination that performance targets were not met. An arbitrator’s decision was expected in August 2021. An adverse outcome could require an additional cash payment of $191.3–$225.0 million; the filing describes the outcome as uncertain.
  • Pursuit earn-out: The measurement period ended and the company calculated an earn-out of $26.3 million, recorded as a current liability. Former owners could dispute the calculation; assuming acceptance, payment was expected in Q3 2021.
  • Other risks cited include raw-material and labor cost increases, foreign-exchange exposure, customer and distributor concentration, competition, regulation, product development and integration execution. The company does not hedge its Euro exposure; it reported a net Euro asset position of €41.1 million and estimated a 10% exchange-rate move would affect those net assets by about $4.9 million.
