Q3 patent royalties were $142.7 million, including $92.6 million of current royalties and $50.1 million of non-current royalties. Technology solutions revenue was $0.7 million. For the first nine months, patent royalties were $309.1 million and technology solutions revenue was $4.5 million.

At September 30, cash and cash equivalents were $467.6 million and short-term investments were $433.2 million; including restricted cash, the combined total was $903.2 million. Current assets were $1,122.8 million versus current liabilities of $418.0 million. Long-term debt was $421.4 million, principally the $400 million 2.00% convertible notes due 2024. Deferred revenue totaled approximately $392.0 million, including current and long-term balances. The company paid $32.3 million in dividends and repurchased $23.0 million of stock during the first nine months.

Material changes versus prior periods

  • Q3 revenue rose 64%, largely from $50.1 million of non-recurring revenue associated primarily with the Xiaomi and a global TV manufacturer agreements. Recurring revenue increased 7% to $93.4 million.
  • Q3 operating expenses increased 48% to $106.7 million. Drivers included compensation and revenue-share costs linked to licensing success, $7.0 million of restructuring expense, and higher intellectual-property enforcement costs.
  • Despite higher Q3 operating income, nine-month operating income and attributable net income declined year over year, as expense growth exceeded revenue growth.
  • Nine-month operating cash flow fell by $85.0 million, mainly because patent royalty cash receipts were $78.0 million lower, primarily reflecting timing. Receivables increased $125.6 million on the cash-flow statement.
  • Interest expense declined, partly because early adoption of ASU 2020-06 eliminated accretion of the convertible-note discount. The adoption increased reported 2021 EPS by $0.09 in Q3 and $0.26 for the nine-month period.

Outlook, management commentary, risks and unusual items

  • Management said available liquidity and expected operating cash generation should be sufficient for operations, capital needs, debt obligations, dividends and the existing repurchase program for at least the next 12 months. No full-year revenue or earnings guidance was provided.
  • Signed dynamic fixed-fee royalty contracts represented $613.4 million of expected future revenue as of September 30: $89.5 million for the remainder of 2021 and $299.3 million in 2022, with the balance thereafter. This is contracted revenue, not total company guidance.
  • The strategic review includes a proposed 66-position reduction in research and innovation, Chordant’s cessation of operations, and an October expansion of restructuring to U.S.-centered general and administrative functions. Management expected additional Q4 2021 restructuring charges of $5–6 million; it previously estimated approximately $15 million in annualized recurring savings from initial actions, with further savings from expanded actions partly offset by research reinvestment. The company cautioned actual costs and savings may differ.
  • Q3 included $11.1 million of one-time supplemental compensation costs tied to licensing success. A $11.0 million patent impairment was recorded in Q2 as patents were classified as held for sale; total nine-month restructuring expense was $20.3 million, net of reimbursement arrangements.
  • Legal matters include InterDigital’s patent and FRAND disputes with Lenovo, related U.S. antitrust claims, and proceedings in China, India and Germany. A UK court found one asserted LTE patent valid, infringed and essential; other proceedings remained unresolved. The filing says these matters had not met the criteria for accrual or disclosure of a potential range as of September 30.
  • Revenue and receivables are concentrated: two licensees accounted for 93% of net accounts receivable at quarter-end. Q3 revenue also depended materially on major licensees, including Xiaomi (31%), Apple (19%), Vizio (15%) and Samsung (14%). Management cited licensing timing, litigation outcomes, patent enforcement and policy changes affecting standard-essential patents, restructuring execution, COVID-19 effects and market conditions as risks.
  • The company revised prior-period balance-sheet classification of certain tax receivables between current and non-current assets, concluding the prior presentation error was not material. COVID-19-related estimate changes had no material financial-statement impact through the reporting date.

Important facts for investors to verify

  • How much of recent revenue growth and future contracted revenue is recurring, and how much depends on non-recurring settlements or license timing.
  • Collection timing and credit exposure given the sharp receivables increase and the concentration among two licensees.
  • Whether restructuring costs, anticipated savings and research reinvestment develop as management described, including the expected Q4 charges.
  • Developments in the Lenovo and other patent disputes, their potential impact on licensing terms and enforcement, and any subsequent accruals or disclosures.
  • Convertible-note dilution exposure, the $400 million 2024 maturity, and the effect of share price changes on diluted EPS.
