Changes, outlook, and material matters

  • Revenue growth was primarily from SaaS. SG&A rose 19% to $15.127, reflecting higher general and administrative costs, the sales-tax accrual and severance. R&D fell 22% to $4.680, primarily due to capitalization of certain software development costs and lower personnel-related costs.
  • The company recorded a $1.064 sales- and use-tax liability at year-end for historical obligations. Note 12 says the assessment relates to 2019–2023, while another section describes 2018–2023; the filing revises prior-period financial statements and says it will not amend the previously filed FY2022 10-K. The correction did not change total cash flows.
  • Management expects available cash, anticipated operating cash and the credit facility to cover working capital and capital expenditure needs for at least 12 months from the filing date. No numerical revenue or earnings guidance is provided. Management may seek additional capital for expansion or other needs, with no assurance of availability or acceptable terms.
  • Management reported ineffective internal control over financial reporting and ineffective disclosure controls as of December 31, 2023, due to a material weakness in monitoring state sales-tax nexus and collection/remittance. The proposed remediation includes quarterly nexus reviews and accounting-system updates; management says remediation is not complete until controls are tested and found effective.
  • A class-action complaint was received in March 2024. The company said it could not yet fully assess the outcome, did not consider a material loss probable, and intends to defend the matter. No material legal-proceeding liability was recorded at year-end.
  • Other risks include customer concentration, long sales and implementation cycles, reliance on government reference data and a limited supplier base, cybersecurity and product risks, and potential uninsured bank deposits. The company reported no cybersecurity threat in 2023 that materially affected or was reasonably likely to materially affect it.
  • The independent auditor issued an unqualified opinion on the financial statements. The auditor did not audit or express an opinion on internal control effectiveness. The auditor identified the sales- and use-tax accrual as a critical audit matter.

Important facts for investors to verify

  1. Progress in remediating the sales-tax nexus control weakness, and whether subsequent testing confirms the controls operate effectively.
  2. The amount, jurisdictional scope and final resolution of historical sales- and use-tax obligations; clarify the filing’s differing 2018–2023 and 2019–2023 period descriptions.
  3. Customer retention, contract renewals and receivable collections given that three customers generated 47% of revenue and represented 66% of year-end accounts receivable.
  4. Whether SaaS growth can continue to translate into sustainable operating profitability and positive operating cash flow, including the impact of capitalized software development costs and excluded Adjusted EBITDA items.
  5. Developments in the March 2024 class action and any resulting financial exposure.
