Revenue rose about 69%, primarily as the BMS and GSK collaborations ramped up. R&D spending increased about 67%, reflecting expanded clinical and preclinical activity, additional trial sites, and IMA401 manufacturing development. G&A expense rose substantially, including higher public-company costs and share-based compensation following the ARYA transaction.
The €229.6 million net loss includes a €152.8 million one-time, non-cash share-listing expense recorded in the ARYA business combination under IFRS 2. Foreign-currency losses were also significant: financial expenses were €10.1 million, mainly due to unrealized exchange-rate movements on U.S.-dollar holdings. The filing does not present a conventional gross-margin measure.
Operating cash outflow was €85.6 million, while financing provided €207.9 million, mainly from the ARYA merger and PIPE financing; investing used €15.9 million. Management reported €232.0 million of cash and other financial assets and believed available resources would fund projected operating needs for at least 12 months from the report. Lease liabilities were €6.2 million on the balance sheet; total contractual obligations were €9.5 million, including leases and CRO commitments. No material off-balance-sheet arrangements were reported.
Material changes and business developments
- Immatics completed its business combination with ARYA and became Nasdaq-listed on July 1, 2020. The transaction and PIPE financing generated €207.9 million of net financing cash flow for the year; 62,908,617 ordinary shares were outstanding at year-end.
- Three ACTengine candidates—IMA201, IMA202 and IMA203—were in Phase 1 trials. The company also reported seven proprietary therapeutic programs and ten partnered programs across ACT and bispecific approaches.
- Collaboration revenue recognized in 2020 was €4.9 million from Amgen, €11.2 million from Genmab, €11.5 million from BMS and €3.7 million from GSK. No milestone or royalty revenue was recognized.
- Deferred collaboration revenue declined to €132.1 million from €161.4 million, as upfront payments are recognized over time as research obligations are performed.
- Roche’s collaboration was terminated in 2020, eliminating potential future milestone or royalty payments under that agreement. The filing also reports a MorphoSys termination in 2021, after the fiscal year.
- As of December 31, 2020, management identified material weaknesses in financial-reporting controls, and concluded disclosure controls were not effective. The weaknesses involved control processes, roles and segregation of duties, and IT general controls.
Outlook, commentary and key risks
- Management expected substantial continuing losses and higher R&D costs as clinical programs advanced. It did not provide numerical revenue or earnings guidance and did not expect meaningful product-sales or royalty revenue in the foreseeable future.
- Plans disclosed included advancing IMA201–IMA203, seeking an IMA204 clinical-trial application in the second half of 2021, and pursuing an IMA401 trial application toward year-end 2021. These are forward-looking plans, not reported outcomes.
- In March 2021, after the reporting date, the company described interim Phase 1 data through February 16, 2021: 14 patients had been treated and 10 had response assessments. It reported disease stabilization in 9 of 10, tumor shrinkage in 8 of 10, and one unconfirmed partial response. One IMA203 patient had a dose-limiting atrial-fibrillation event; it resolved within 48 hours. These small, early-stage, uncontrolled results are preliminary and are not FY2020 financial-period results.
- COVID-19 slowed laboratory and supplier activity and delayed research under collaborations, reducing revenue recognized in 2020 versus prior plans. Management considered the revenue timing impact largely temporary but could not predict the pandemic’s future effects.
- Principal risks include clinical-trial failure or delay, adverse events, regulatory uncertainty, complex and costly manufacturing, dependence on CROs and CMOs, patient recruitment constraints, competition, intellectual-property challenges, and the need for additional capital if development costs or timelines exceed expectations.
- The company reported no material litigation expected to have a material adverse effect, but disclosed a trademark dispute with Immunocore involving IMMTAX and IMMATICS. It also reported no cash dividends and did not expect to pay them in the foreseeable future.
Most important facts for investors to verify
- Confirm the €152.8 million share-listing expense is non-cash and distinguish it from recurring operating costs when assessing the FY2020 net loss.
- Review the audited IFRS statements and cash-flow reconciliation, including the reported cash outflow, collaboration-revenue recognition, and €132.1 million deferred-revenue balance.
- Track cash burn against management’s stated minimum 12-month runway, planned trial spending, and the availability and terms of future financing.
- Assess subsequent, fully reported clinical data against the preliminary February 2021 ACT results, especially response durability, safety, patient numbers and dose levels.
- Monitor remediation and testing of the disclosed material weaknesses in financial-reporting controls.
- Check current status of collaborations and contingent milestone and royalty rights, including the Roche termination and the post-year-end MorphoSys termination.
