Incyte Corporation — FY2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022; comparisons are with FY2021 unless noted. This is an annual filing, not a standalone fourth-quarter report.
Business context
Incyte is a biopharmaceutical company focused on discovering, developing and commercializing therapeutics, primarily in hematology/oncology and inflammation/autoimmunity. Its marketed portfolio includes JAKAFI, OPZELURA, PEMAZYRE, ICLUSIG and MINJUVI/MONJUVI. JAKAFI remains its largest revenue source. The company also earns royalties and milestone payments from collaborations, including with Novartis and Lilly.

Revenue increased 13.7%, led by product sales. JAKAFI revenue rose to $2.409 billion from $2.135 billion, reflecting higher volume and price. OPZELURA revenue reached $128.7 million as its atopic dermatitis launch progressed and its vitiligo indication was approved. Royalty revenue declined, principally due to unfavorable foreign exchange and lower OLUMIANT sales for COVID-19 treatment. Milestone and contract revenue included $135 million of regulatory milestones and a $30 million upfront payment.
Net income fell substantially, largely because FY2021 included a $569 million tax benefit from releasing a valuation allowance on most U.S. deferred tax assets. FY2022 included a $188.5 million income tax provision. Operating income was broadly flat as increased revenue was offset by higher operating expenses. Operating expenses included $1.586 billion of R&D and $1.002 billion of SG&A. Product cost was $207.0 million; the implied product gross margin was approximately 92.5% in FY2022.
Net cash used in investing activities was $78.5 million, including $77.8 million of capital expenditures. Financing activities used $0.8 million. The company reported no borrowings under its $500 million, three-year unsecured revolving credit facility at year-end and said it expected available resources and operating cash flow to meet capital needs for the foreseeable future. It has no material funded debt reported, but had $221 million of acquisition-related contingent consideration and lease liabilities.
Material changes and notable items
- Product revenue increased by $424.9 million, while product royalty revenue decreased by $86.5 million.
- R&D expense increased to $1.586 billion from $1.458 billion, primarily due to continued investment in late-stage programs. SG&A rose to $1.002 billion from $739.6 million, reflecting dermatology commercial build-out and OPZELURA launch activity.
- FY2022 included an $87.6 million unrealized loss on long-term investments, compared with a $24.1 million loss in FY2021. Other income, net, was $39.9 million, primarily reflecting higher interest income.
- The Villaris acquisition cost $70.3 million upfront, expensed as R&D; potential future development and regulatory milestones total up to $310 million, with up to $1.05 billion in commercial milestones.
- Accrued royalties payable to Novartis were $253.5 million at year-end; payment is dependent on the outcome of a contract dispute.
Outlook, management commentary and risks
The filing provides no quantified revenue or earnings guidance. Management highlighted continued investment in the pipeline and commercialization, and stated that COVID-19 had not materially affected commercial operations or manufacturing supply to date, while clinical-trial recruitment and monitoring could still be affected.
Near-term development items include FDA review of once-daily ruxolitinib, with a PDUFA target action date of March 23, 2023, and ongoing late-stage programs. FY2022 regulatory achievements included FDA approval of OPZELURA for nonsegmental vitiligo and PEMAZYRE for FGFR1-rearranged myeloid/lymphoid neoplasms.
Principal risks include dependence on JAKAFI, competition and potential generic entry, pricing and reimbursement pressure, clinical and regulatory uncertainty, reliance on third-party manufacturers and concentrated distribution channels, and collaboration execution. The filing notes a generic JAKAFI patent challenge and that core ruxolitinib patents are expected to expire in the U.S. in late 2028. U.S. tax rules requiring capitalization and amortization of R&D costs are increasing tax cash requirements. Incyte disclosed a $12.6 million DOJ settlement in 2021 relating to speaker and patient assistance programs; the company denied improper claims.
Ernst & Young issued unqualified opinions on the financial statements and internal control over financial reporting. Management and the auditor reported effective internal controls as of December 31, 2022.
