Material changes and business developments
- JAKAFI sales and JAKAVI royalties increased substantially, while contract revenue fell because Novartis upfront-fee revenue amortization ended in December 2013. A $7.0 million Novartis development milestone for INC280 partly offset the decline.
- Higher R&D reflected increased development headcount and clinical-pipeline spending. Higher SG&A reflected expanded commercialization staffing and marketing, including preparation for a potential polycythemia vera launch. Stock-based compensation rose to $15.3 million from $9.2 million.
- Management reported positive top-line results from the Phase III polycythemia vera trial: it met its primary endpoint. Incyte expected to submit a supplemental NDA for hydroxyurea-resistant or -intolerant patients in the first half of 2014; the filing does not report an approval.
- The first Phase III pancreatic cancer trial began in March 2014; a second was expected to begin in Q2 2014. The plan targets a subgroup identified in an earlier study, but trial and regulatory outcomes remain uncertain.
- Hervé Hoppenot became CEO in January 2014 and received a one-time award of 400,000 restricted stock units, subject to vesting conditions.
Outlook, risks and contingencies
- Incyte stated that available cash, cash equivalents and marketable securities should cover capital needs for at least the next 12 months. It also cautioned that it may continue to incur losses and may never achieve or sustain profitability; no specific revenue, earnings or cash-flow guidance was provided.
- Key risks include dependence on JAKAFI, reimbursement and pricing pressures, concentration among specialty-pharmacy customers, reliance on third-party manufacturers and single-source suppliers, clinical and regulatory uncertainty, and reliance on collaboration partners for licensed programs.
- Management cited substantial leverage and potential future financing needs. Contractual obligations totaled $986.0 million, including debt principal and interest and lease commitments. The new 15-year headquarters lease includes approximately $84.6 million in future minimum lease payments, plus remaining build-out costs; a $15.0 million letter of credit is collateralized by restricted investments.
- A consolidated securities class action concerning statements about JAKAFI’s launch was dismissed with prejudice on March 31, 2014. The filing reports no damages amount or continuing exposure from that action.
- The company said disclosure controls and procedures were effective at the reasonable-assurance level and reported no material change in internal control over financial reporting during the quarter.
