FY2012 product cost of revenue was $0.2 million, but reported product margin is not representative of ongoing economics: costs incurred before JAKAFI’s approval were expensed as R&D. Interest expense was $46.1 million, up from $43.8 million, and exceeded operating income.

At year-end, cash, cash equivalents and marketable securities totaled $228.4 million, working capital was $173.4 million, and total assets were $330.4 million. Operating cash use improved year over year, but cash and securities declined from $277.6 million. The company reported $410 million of debt principal: $400 million of 4.75% convertible senior notes due October 2015 and a $10 million non-interest-bearing Pfizer note due 2014. FY2012 interest paid was $19 million. The senior-note indenture restricts additional debt and liens. Stockholders’ deficit was $175.0 million.

FY2012 Q4 revenue was $113.8 million and net income was $18.8 million. The quarter included $43.3 million of JAKAFI product revenue, $3.7 million of JAKAVI royalties and $66.7 million of contract revenue. Quarterly earnings do not indicate full-year profitability: the company recorded a $44.3 million annual net loss.

Material changes and business developments

  • Total revenue rose substantially, driven by JAKAFI commercialization and higher contract revenue. Contract revenue included $40 million of Novartis milestones and a $50 million Lilly milestone in 2012; the Lilly payment was received in January 2013. Revenue therefore included significant collaboration and milestone amounts, not solely recurring product sales.
  • JAKAFI product revenue increased to $136.0 million from $2.0 million in its first partial year of sales. In Q3 2012, Incyte changed from sell-through to sell-in revenue recognition after gaining sufficient returns experience; FY2012 revenue included $2.3 million deferred at year-end 2011.
  • R&D expense increased 18% and SG&A increased 47%, reflecting pipeline investment, higher development costs and the commercial build-out for JAKAFI. Stock-based compensation rose to $38.5 million from $29.0 million.
  • JAKAVI received European Commission approval in August 2012. Baricitinib’s rheumatoid arthritis Phase III program began in late 2012; ruxolitinib’s Phase III polycythemia vera trial was fully enrolled, with results expected to support a 2014 supplemental application submission.
  • The $10 million Pfizer note due 2013 was converted into 1.46 million common shares in December 2012. Shares issued and outstanding at year-end were 133.5 million.

Outlook, risks and other notable items

Management said available cash, cash equivalents and marketable securities should fund capital needs for at least the next 12 months, while noting funding needs depend on operating results, development spending and commercialization. Incyte expected continued significant R&D investment and possible future losses; it did not provide quantified revenue or earnings guidance. Management noted that the company may need additional capital to fund its plans and repay debt.

  • Pipeline and execution: JAKAFI commercialization, reimbursement, patient uptake and additional-indication trials are important to future results. Clinical, regulatory and safety outcomes for pipeline products remain uncertain.
  • Supply concentration: Incyte relied on single-source manufacturers for JAKAFI active ingredient and finished product and was working to qualify additional sources. Some raw materials came from China.
  • Debt and cash burn: Debt service, the 2015 senior-note maturity, declining cash balances and restrictions in the note indenture could constrain investment or financing options.
  • Revenue concentration and collaboration dependence: A material portion of contract revenue depended on Novartis and Lilly milestones and recognition of prior upfront payments; collaborators control many development and commercialization activities and may terminate agreements under specified terms.
  • Other risks: Pricing and reimbursement pressure, competition, intellectual property challenges, regulatory and healthcare-compliance exposure, and dependence on key staff and the Wilmington facility.

The filing reported no material legal proceedings. The independent auditor issued an unqualified opinion on the financial statements and internal control over financial reporting; management also concluded disclosure controls were effective at the reasonable-assurance level.

Key facts for investors to verify

  • How much of future revenue growth is supported by JAKAFI demand and royalties versus non-recurring milestones and recognition of deferred collaboration fees.
  • JAKAFI sales trends, payer coverage, returns and rebate assumptions, specialty-pharmacy concentration, and progress qualifying backup suppliers.
  • Progress and outcomes for the ruxolitinib polycythemia vera trial and Lilly’s baricitinib Phase III program, including expected timing and Incyte’s cost-sharing obligations.
  • Cash runway under continued operating cash use, financing availability, and plans for the $400 million senior notes due in 2015.
  • Potential dilution from equity compensation and convertible securities; the filing excluded 68.4 million potential shares from diluted loss-per-share calculations as anti-dilutive.
