Material changes and credit quality

  • Net income rose about 8.9% year over year. Lower interest expense and loan-loss provision, plus higher fee income, more than offset lower interest income and higher operating expense.
  • The margin declined 20 basis points year over year as asset yields repriced lower; the company said deposit-cost reductions provided a partial offset. Cost of total deposits declined to 0.29% from 0.40%.
  • Loans increased $75.4 million, or 2.0%, from year-end, led by commercial lending and home equity. Deposits increased $68.9 million; core deposits rose $74.1 million, while time deposits fell $5.3 million. Core deposits were 83.9% of total deposits.
  • Nonperforming loans were $31.6 million, or 0.82% of gross loans, versus $29.0 million and 0.76% at year-end. Nonperforming assets were $40.7 million, or 0.82% of assets, versus $37.1 million and 0.75%. The allowance equaled 1.25% of loans and 152.75% of nonperforming loans.
  • Total troubled debt restructurings were $47.2 million, with 80.53% performing and accruing. Net charge-offs were $1.5 million; management attributed the lower provision partly to improving credit measures, offset by portfolio growth and mix.

Outlook, risks and notable items

  • Management maintained its 2012 diluted EPS guidance range of $2.05–$2.15 and said it expected results toward the upper end. It cited continued balance-sheet growth, solid fundamentals and asset quality, while acknowledging pressure on loan yields and margin.
  • On May 1, 2012, the company announced an agreement to acquire Central Bancorp, Inc. for an estimated $54.8 million based on the cited April 27 share price. Consideration is structured as 60% stock and 40% cash, subject to shareholder and regulatory approvals and other conditions; closing was anticipated in Q4 2012.
  • Rockland Trust received an additional $66 million of New Markets Tax Credit allocation authority. Management anticipated investing $20 million in 2012 and included related expected tax benefits in its effective-tax-rate calculation.
  • Key risks include regional economic and real-estate weakness, borrower credit deterioration, interest-rate and funding-cost changes, securities valuation and liquidity, regulatory and tax changes, cybersecurity and execution/integration risks from acquisitions. Management said disclosure controls were effective and reported no material change in internal controls or material litigation.

Investor verification priorities

  • Track whether margin pressure continues and whether loan and core-deposit growth can offset lower asset yields.
  • Review trends in nonperforming loans, TDR performance, charge-offs, potential problem commercial loans and allowance adequacy, especially given the portfolio’s real-estate exposure.
  • Confirm delivery against the $2.05–$2.15 EPS outlook and assess how much earnings depend on tax-credit recognition and one-time items, including a vendor rebate that boosted interchange and ATM fees.
  • Monitor Central Bancorp transaction approvals, final consideration and expected closing timing.
  • Assess liquidity and capital after loan growth and securities purchases; confirm the availability and terms of stated contingent borrowing capacity.
