Revenue comprised $15.3 million from mobile solutions, $14.2 million from fixed wireless access (FWA), and $15.6 million from services and other. Cost of revenue was $27.6 million, or 61.4% of revenue. Operating expenses totaled $19.1 million. Net interest expense was $2.2 million; the income tax provision was $0.2 million.
Material changes and liquidity
- Revenue declined 11.4% year over year. Mobile solutions fell 33.7% to $15.3 million, primarily reflecting the company’s shift toward premium 5G MiFi products rather than lower-priced products. FWA revenue increased 19.5% to $14.2 million, attributed mainly to adoption of a device launched in Q2 2023. Services and other declined 2.1% to $15.6 million.
- Gross margin improved to 38.6% from 35.8%, which management attributed to a larger share of higher-margin service revenue. Gross profit nevertheless decreased with lower revenue.
- Operating expenses fell 12.4% to $19.1 million, including lower sales and marketing, general and administrative, and depreciation and amortization costs. Research and development expense increased 33.6%, primarily because fewer development costs qualified for capitalization.
- At March 31, cash was $12.3 million and working capital was $3.6 million. Total liabilities were $227.7 million, compared with assets of $122.1 million, resulting in a stockholders’ deficit of $105.6 million.
- The company had $161.9 million principal amount of 3.25% senior unsecured convertible notes due May 1, 2025. It reported active refinancing or restructuring negotiations but no assurance of a transaction, and disclosed substantial doubt about its ability to continue as a going concern within one year of issuance of the financial statements.
- After quarter-end, Inseego received a $15.0 million upfront payment under a renewed two-year Inseego Subscribe service contract. Effective April 18, 2024, it paid off and terminated its revolving credit facility; the filing reports approximately $3.0 million paid for the outstanding balance and related termination fees, plus a $0.4 million exit fee to related-party participants. The filing states these developments improved liquidity.
Outlook, risks and unusual items
The filing provides no formal revenue or earnings guidance. Management expects Inseego Subscribe revenue to increase in future periods under the renewed contract. The company’s ability to refinance or restructure the 2025 Notes is a central uncertainty; failure to do so, weaker-than-planned operations, or unforeseen expenditures could require additional capital, cost reductions or reduced investment. Potential equity financing could dilute existing shareholders.
Other notable exposures include approximately $60.1 million of noncancellable purchase obligations, customer concentration (two customers represented 39.3% and 18.2% of Q1 revenue), and reliance on contract manufacturers and suppliers. The company also identifies competition, product development and adoption, supply availability, litigation and intellectual property claims, foreign exchange, inflation, and broader economic conditions as risks. It reported no litigation expected to have a material adverse effect and no material change to the risk factors in its 2023 Form 10-K.
In January 2024, the company completed a 1-for-10 reverse stock split; share and per-share figures were retrospectively adjusted. The company reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.
Important facts for investors to verify

- Cash and liquidity after the April customer prepayment, revolving facility payoff and associated fees, including the filing’s reported payoff amount.
- Whether FWA growth and the renewed service contract can offset continued weakness in mobile solutions and support positive operating cash flow.
- Customer concentration, purchase commitments and the company’s ability to manage inventory, supplier obligations and working capital.
- Potential dilution and other shareholder effects if the company raises capital or negotiates a debt restructuring.
