Identiv, Inc. — FY2014 Form 10-K Summary
Reporting period: Fiscal year ended December 31, 2014; filed March 23, 2015. This is an annual report, not a standalone fourth-quarter report. Identiv provides security technology across physical access, information security, and RFID/NFC credentials. The company reorganized reporting in 2014 into Premises, Identity, Credentials, and All Other segments; prior-period segment results were recast.

| Metric | FY2014 | FY2013 |
|---|---|---|
| Revenue | $81.2 million | $74.3 million |
| Gross profit / margin | $33.5 million / 41% | $33.4 million / 45% |
| Operating loss | $13.4 million | $23.5 million |

| Cash used in operations | $11.7 million | $2.4 million |

| Working capital | $42.0 million | $8.5 million |
| Long-term financial liabilities, net | $13.9 million | $3.1 million |
Revenue increased 9%, but gross margin declined as Credentials, the lower-margin and fastest-growing segment, made up a greater share of sales. Operating loss narrowed substantially, mainly because FY2013 included $15.6 million of goodwill impairment and $0.2 million of long-lived asset impairment. FY2014 included a $3.5 million idOnDemand earn-out charge and $3.1 million of restructuring and severance costs. Net loss also included $3.6 million of net interest expense and $1.3 million of foreign-currency losses.
Segment revenue: Credentials $41.6 million, up 37%; Premises $19.0 million, down 4%; Identity $17.0 million, down 15%; and All Other $3.6 million, down 12%. Credentials growth reflected large RFID/NFC orders, including electronic gaming and transit applications. Premises and Identity were affected by weaker or nonrecurring government-project demand. Credentials gross margin fell to 29% from 36%, partly due to production underutilization; total company gross margin fell to 41% from 45%.
Cash from financing was $41.9 million, principally reflecting equity proceeds and borrowing. The September 2014 public offering generated approximately $31.6 million net proceeds; the company also received $4.2 million from sales to Lincoln Park Capital. Investing activities provided $0.1 million net, including $1.4 million from divestitures and $1.3 million of capital expenditures. The company repurchased approximately $1.7 million of stock during the year.
Liquidity, debt, and capital structure
In March 2014, Identiv replaced its Hercules debt with an Opus Bank facility. The November amendment increased the revolving facility limit to $30 million and extended its maturity to November 2017; the $10 million term loan is due March 2017. At year-end, principal outstanding was $10 million on the term loan and $4.3 million on the revolver. The debt is secured by substantially all company assets, carries floating-rate interest, and includes financial and operating covenants. Identiv reported covenant compliance at December 31, 2014.
Contractual obligations totaled $37.4 million, including $16.0 million of financial liabilities (including scheduled interest), $8.2 million for the Hirsch-related payment obligation, $4.4 million of operating leases, and $8.8 million of purchase commitments and other obligations. The filing reports $8.0 million due within one year. Management stated cash, available credit, and potential access to capital were expected to fund operations and support going concern for the next 12 months, while noting there is no assurance additional financing will be available on acceptable terms.
Outlook, risks, and other material matters
- Management’s 2015 priority is revenue growth, with investment in sales and marketing, cloud services, physical access control, smart card readers, and RFID/NFC products. It expected R&D and G&A to remain relatively stable as a percentage of revenue, and selling and marketing spending to increase. No specific revenue or earnings guidance was provided.
- Management expected continued operating losses and significant cash use for operations and debt service. The company had an accumulated deficit of $338.7 million and used $11.7 million of operating cash in FY2014.
- Customer concentration increased: the top ten customers represented 44% of FY2014 revenue, and one customer represented 23%; no customer exceeded 10% in FY2013. Two customers each represented about 12% of year-end receivables.
- Results are exposed to U.S. and international government budgets, order timing and seasonality, limited backlog, customer concentration, competition, component supply and manufacturing risks, currency fluctuations, and execution risks in cloud-based services. Cash held outside the U.S. was $2.2 million; the company reported no foreign-exchange hedging program.
- The company divested non-core businesses and closed its German RFID/NFC production site, consolidating production in Singapore. It recorded $3.1 million of FY2014 restructuring charges, plus $0.3 million of executive-related severance in G&A.
- A $3.51 million idOnDemand earn-out was accrued for 2014, payable in Identiv shares. The filing says approximately 87% of that consideration was attributable to the CEO and 0.3% to the CFO, creating a related-party item for investors to review.
- Management reported that a material weakness in internal controls over financial reporting, previously related to the close process and insufficient U.S. GAAP expertise, was remediated by year-end 2014. Disclosure controls were deemed effective. The financial statement audit was unqualified; the auditor did not audit or opine on internal control effectiveness.
- Identiv effected a 1-for-10 reverse stock split in May 2014. The company had no outstanding preferred shares and did not anticipate paying cash dividends.
- The filing reported no material pending legal proceedings and no off-balance-sheet arrangements.
Important facts for investors to verify
- Whether Credentials growth and major customer programs are repeatable, and how customer concentration has evolved since FY2014.
- Current gross margins by segment, especially Credentials margins and production utilization, and whether revenue growth can translate into improved operating cash flow.
- Current liquidity, debt balances, interest costs, covenant compliance, and the capacity and terms available under the Opus facility.
- Progress toward profitability and management’s planned spending levels; the filing provides no quantified 2015 guidance.
- Whether the prior internal-control weakness remains remediated and whether the related-party earn-out was settled as described.
