| Gross profit / margin | $591.1 million / 30.3% | $586.7 million / 29.9% |

Sales declined 1%; gross profit increased 1%, while operating income fell 14%. Net income rose 5%, supported in part by lower income tax expense and higher other income. The effective tax rate was 20.2%, versus 28.0%. Operating cash flow increased mainly because inventory and other working-capital needs declined. Capital expenditures were $62.1 million; cash used in investing activities was $111.8 million, including $34.7 million for business combinations and $15.1 million for internally developed software. Dividends paid were $35.1 million.
At year-end, the company had no borrowings under its $250 million revolving facility and reported no finance-lease obligations. Cash exceeded $200 million. The facility matures in May 2027 and includes an option to request a one-year extension and an accordion feature for up to $125 million of additional capacity. Management said covenants were met and did not expect a breach within the next 12 months.
Segments and material changes
| Segment | 2023 sales | 2023 operating income | Change versus 2022 |
|---|---|---|---|
| Performance Chemicals | $561.6 million | $54.5 million | Sales down 12%; operating income down from $95.3 million |
| Fuel Specialties | $695.9 million | $109.7 million | Sales down 5%; operating income down from $121.7 million |
| Oilfield Services | $691.3 million | $78.6 million | Sales up 16%; operating income up from $41.7 million |
- Performance Chemicals: Customer destocking and weaker personal-care demand reduced sales and margins. Management said destocking pressure peaked in Q3 and reported sequential improvement in operating income and margins in the second half.
- Fuel Specialties: Lower volumes were partly offset by favorable product mix. Operating income and margins were affected by charges linked to the Brazil inventory matter. Excluding those non-recurring charges, management said full-year operating income grew and margins improved to 18%.
- Oilfield Services: Strong demand, improved pricing and favorable mix drove growth; operating income approximately doubled and operating margin exceeded management’s 10% target. One customer represented $265.2 million, or 13.6%, of group sales, up from 11.3% in 2022.
Outlook, risks and unusual items
- Management entered 2024 optimistic despite expected continuing economic headwinds. It expects further improvement in Performance Chemicals as activity recovers and QGP is integrated; it expects Oilfield Services production-chemicals activity to remain moderate.
- Fuel Specialties’ stated operating-margin target is 19%–21%; management identified sales growth and further margin improvement as priorities for 2024. The filing does not provide consolidated numerical earnings or revenue guidance.
- On December 8, 2023, Innospec acquired QGP Química Geral to strengthen Performance Chemicals and add South American manufacturing capacity. The purchase price was $58.0 million, net of cash acquired, subject to working-capital adjustments. QGP’s 2023 contribution was immaterial due to the late-year closing; purchase-price allocation was provisional, including $37.4 million of goodwill. Deferred contingent consideration was valued at $23.4 million.
- A Brazil inventory misappropriation resulted in a $7.4 million inventory write-off and a further $8.0 million of charges as the company exited the related trading relationship. No asset was recorded for potential legal or insurance recoveries; the company has lodged civil, criminal and insurance claims.
- Plant-closure provisions were $61.6 million, principally associated with the Ellesmere Port, U.K. site. Management’s estimates depend on the scope, timing and cost of remediation; the provision was a critical audit matter. A 2023 charge of $8.9 million included $3.7 million of accretion and $5.2 million primarily for changes in expected remediation costs and scope.
- Key risks include raw-material and energy-price volatility, foreign exchange, customer and supplier concentration, oil-and-gas activity, regulation and environmental liabilities, and acquisition integration. Innospec identifies the possible phaseout of leaded aviation gasoline as a long-term risk; the U.S. EAGLE program aims to eliminate lead emissions from general aviation by the end of 2030, while no replacement fuel was yet available.
- The company reported effective internal control over financial reporting; management and the auditor excluded QGP from the 2023 assessment because it was newly acquired. The independent auditor issued an unqualified opinion on the financial statements and internal controls.
Important facts for investors to verify
- Whether Performance Chemicals’ destocking has eased and whether 2024 recovery supports the expected improvement in segment margins.
- Fuel Specialties’ underlying margin progression toward the 19%–21% target, distinguishing recurring performance from the Brazil-related charges.
- Oilfield Services’ growth durability and customer concentration, including the contribution and credit quality of its largest customer.
- QGP’s final purchase-price allocation, contingent consideration and integration results; the reported allocation was provisional.
- Progress and recoveries, if any, from the Brazil claims; no recovery asset was recognized at year-end.
- Whether the $61.6 million plant-closure provision remains adequate as remediation plans, costs or environmental requirements change.
- Operating cash flow and working-capital trends, alongside committed capital and ERP spending; adjusted working capital is a non-GAAP measure.
