|---|---|---|---|
| Net sales | $1,963.7 million | $1,483.4 million | +32% |
| Gross profit | $586.7 million | $434.9 million | +35% |

Segment sales and operating income were: Performance Chemicals, $639.7 million and $95.3 million; Fuel Specialties, $730.2 million and $121.7 million; Oilfield Services, $593.8 million and $41.7 million. Sales rose 22%, 18% and 75%, respectively. Oilfield Services delivered the largest sales increase; all three segments reported higher operating income.
Cash from operations declined mainly because of higher working-capital requirements, partly offset by improved earnings before depreciation and amortization. Inventories increased $95.5 million and receivables increased $50.1 million. Capital expenditures were $39.6 million; dividends paid were $31.7 million. Cash and cash equivalents ended the year at $147.1 million, versus $141.8 million.
At year-end, total current assets were $872.6 million and current liabilities were $405.8 million. The company had no borrowings under its $250 million revolving credit facility and no finance-lease obligations. Total liabilities were $563.3 million; equity was $1,040.4 million. Operating lease liabilities were $45.3 million.
Material changes and notable items
- Management reported double-digit sales and operating-income growth and expanded aggregate gross margin. Performance Chemicals operating income increased 34% for the year, although fourth-quarter destocking lowered volumes and margins. Fuel Specialties’ annual operating income grew at a double-digit rate, while its gross margin remained below management’s expected range. Oilfield Services reported substantial growth.
- Operating cash flow fell despite higher earnings, reflecting working-capital investment to support trading and inventory needs and mitigate supply risks. Inventory days increased in Performance Chemicals and Fuel Specialties.
- Net pension asset declined to $48.1 million from $159.8 million. The UK plan’s 2022 buy-in insurance policy is an investment asset; it did not transfer the benefit obligation, and Innospec remains responsible for pension payments. The plan recorded significant actuarial and asset-value movements.
- Share-based compensation expense rose, particularly for cash-settled stock equivalent units, whose compensation cost was $24.2 million in 2022 versus $3.1 million in 2021.
- The effective tax rate was 28.0%, down from 30.7%; the adjusted effective tax rate, a non-GAAP measure, increased to 27.0% from 22.7%.
Outlook, risks and contingencies
Management expects technology-based organic growth opportunities across the businesses despite a generally recessionary outlook for 2023. It expects some Oilfield Services sales to moderate from exceptionally strong third and fourth quarters of 2022, while seeing potential improvement in other oilfield markets. Fuel Specialties’ margin expansion is an opportunity if inflation normalizes and demand for higher-margin jet fuel additives recovers; this is not a quantified forecast.
In 2023, Innospec expects to substantially complete a $70 million Performance Chemicals expansion, continue dividend growth and consider share repurchases based on market conditions. It also intends to pursue complementary acquisitions and continue R&D investment. The filing does not provide numerical 2023 revenue or earnings guidance.
- Market and supply risks: The Ukraine conflict and related sanctions have affected access to certain raw materials and sales channels and contributed to energy, logistics and cost uncertainty. Inflation, energy costs, foreign exchange, raw-material price volatility and supply-chain disruptions could pressure margins, cash flow and working capital.
- Customer and segment concentration: One Oilfield Services customer represented $222.2 million, or 11.3%, of 2022 group sales. Oilfield demand is sensitive to oil and gas activity and prices.
- AvGas transition risk: Innospec says it is currently the only producer of tetraethyl lead for aviation gasoline. The EAGLE partnership aims to eliminate lead emissions from general aviation by the end of 2030; a replacement fuel or prohibition on leaded fuel could adversely affect future operating income and cash flows.
- Environmental obligations: Plant-closure provisions totaled $57.2 million, principally for the Ellesmere Port site. The estimate depends on remediation scope, timing and cost. The auditor identified this estimate as a critical audit matter. Environmental and chemical-registration requirements may add costs.
- Other exposures: The company identified cybersecurity, manufacturing disruption, regulatory and tax uncertainty, pension assumptions, foreign-exchange volatility and customer-counterparty risks. It reported no material pending legal proceedings. Guarantees not recorded as liabilities totaled $7.0 million.
- Investment commitments: Year-end capital commitments were $37.7 million. Planned additional ERP software completion costs were approximately $25.0 million; implementation for EMEA and ASPAC is expected to be completed in the first half of 2024.
The $250 million revolving facility runs to September 2024 and has financial covenants. Management reported compliance at year-end and did not expect a breach over the next 12 months. The facility also restricts certain indebtedness, investments and other actions.
Important facts for investors to verify
- Whether fourth-quarter Performance Chemicals destocking and margin pressure persist, and how inventory levels convert into cash.
- Whether Fuel Specialties can recover margins as input-cost inflation and pass-through timing change, and whether jet-additive demand improves.
- How much Oilfield Services sales moderate from late-2022 levels, particularly given the 11.3% customer concentration.
- Progress, total cost and expected returns of the $70 million Performance Chemicals expansion and ERP implementation.
- Updates to the $57.2 million plant-closure estimate, UK pension funding exposure, tax uncertainties and related guarantees.
- Progress toward replacement aviation gasoline and potential regulatory deadlines for leaded AvGas.
