Business context
Innate Pharma is a French biotechnology company focused on immuno-oncology antibodies. Its portfolio included FDA-approved Lumoxiti, clinical-stage candidates including monalizumab, lacutamab and avdoralimab, and preclinical programs. Collaboration and licensing income, government research tax credits and equity financing are important funding sources.

Cash flow: Operating cash flow was positive €34.9 million, compared with €(32.5) million in 2018, primarily reflecting collection of €108.7 million relating to AstraZeneca agreements, partly offset by operating outflows. Investing cash flow was €(62.1) million, including Lumoxiti and license-related payments. Financing cash flow was €77.8 million, including €66.0 million net proceeds from the October 2019 global offering and borrowing proceeds.
Debt and liquidity: Financial liabilities were €18.7 million at year-end, including a €14.8 million Sociéte Générale building loan. The loan bears fixed interest of 2.01%, is secured by €15.2 million of financial assets and includes a minimum-cash-and-financial-assets covenant. Management said available financial resources and operating cash flow were expected to fund operations for at least 12 months; it also anticipates needing additional funding to complete development and commercialization plans.
Material changes versus 2018
- Total revenue and other income declined 8.7%, chiefly because collaboration and licensing revenue fell 13.7%. Monalizumab revenue decreased to €42.5 million from €61.5 million, partly reflecting the prior-year catch-up recognition following AstraZeneca’s option exercise. IPH5201 revenue rose to €18.8 million from €15.6 million.
- Operating expenses increased 19.3%. R&D expense rose 13.4%; SG&A increased 42.2%, including costs to build U.S. commercial and corporate capabilities.
- Lumoxiti distribution-agreement losses widened to €8.2 million from €1.1 million as the U.S. launch remained in ramp-up and Innate took on transition costs.
- Net financial results improved by €8.7 million, to €6.3 million income, including favorable fair-value and foreign-exchange movements. Net income shifted from profit to loss.
- Cash and short-term investments increased by €51.3 million. The company raised €66.0 million net in its October 2019 global offering; outstanding share count also increased.
Outlook, risks and unusual items
- Commercialization: Innate became the primary entity promoting Lumoxiti in the U.S. by the end of 2019 and planned to assume full commercialization responsibility by the end of 2020. AstraZeneca remained responsible for manufacturing and supply under the transition arrangements. The EMA accepted Lumoxiti’s marketing application in January 2020.
- Clinical milestones: AstraZeneca planned to initiate a Phase III monalizumab-plus-cetuximab trial in recurrent or metastatic head and neck cancer in 2020, subject to approvals. Innate expected a $100 million milestone upon first-patient dosing. Preliminary data expectations included monalizumab cohort updates in 2020 and lacutamab efficacy data beginning in 2021; these were expectations, not guarantees.
- Lacutamab manufacturing disruption: In November 2019, the fill-and-finish subcontractor withdrew certificates of conformance for clinical batches and filed for bankruptcy. TELLOMAK was fully or partially held in several countries; some enrollment was suspended pending a compliant replacement batch, expected in the second half of 2020. The company reported no medication-related safety issue.
- COVID-19: The filing describes potential disruption to research sites, enrollment, treatment, supply and Lumoxiti promotion. AstraZeneca temporarily paused enrollment in the IPH5201 Phase I trial. The company said the pandemic’s overall effects were uncertain; it had no impact on the December 31, 2019 financial statements.
- Financial reporting controls: Management concluded disclosure controls were not effective at year-end. Material weaknesses concerned clinical-trial subcontracting cost inputs, review of monalizumab collaboration revenue calculations, and IT access and change-management controls. Identified expense and revenue errors were corrected before issuance. Remediation was underway, including an ERP upgrade and planned additional control and IT resources.
- Concentration and funding risk: Collaboration revenue depended heavily on AstraZeneca, and the filing states that milestone and royalty payments depend on uncertain development, regulatory and commercial outcomes. The approximately $5.5 billion of potential future contingent payments is conditional, including on partner option exercises and achievement of milestones.
- Accounting comparability: IFRS 16 was adopted in 2019 using a modified retrospective approach; 2018 comparatives were not restated. IFRS 15 adoption in 2018 also affected revenue and R&D presentation, limiting direct comparison with 2017.
The auditor issued an unqualified opinion on the IFRS financial statements. The auditor did not express an opinion on internal-control effectiveness.
