Inventiva S.A. — FY2020 Form 20-F summary
Reporting period: Fiscal year ended December 31, 2020. This is an annual report, not a standalone fourth-quarter filing; the filing text does not provide separate Q4 financial results. Financial statements are audited and prepared under IFRS as issued by the IASB, in euros.
Business context
Inventiva is a clinical-stage biopharmaceutical company with no approved products or product-sale revenue. Its lead candidate, lanifibranor, is in development for NASH. The company reported positive Phase IIb NATIVE results in 2020 and plans pivotal Phase III development. Odiparcil, developed for MPS VI, was deprioritized as the company focused resources on lanifibranor. Earlier-stage programs include oncology and fibrosis research and an AbbVie collaboration.

With no product sales and continuing development spending, conventional gross margin is not meaningful. Revenue fell sharply as collaboration and research-service activity wound down. Operating loss narrowed slightly, but net loss increased, mainly reflecting foreign-exchange losses. No income tax expense was recorded; deferred tax assets on losses were not recognized.
Cash from financing activities was €111.674 million, principally reflecting the July Nasdaq offering (net proceeds of approximately €87 million), February 2020 capital increase (net proceeds of approximately €14.7 million), and €10 million of French State-guaranteed loans. Investing cash outflow was €8.557 million, largely from short-term U.S.-dollar deposits. The company said year-end cash would fund operating expenses and capital expenditure requirements through Q4 2022, subject to assumptions and spending levels.
Material changes versus FY2019
- Revenue decreased by €6.626 million to €0.372 million, primarily after the Boehringer Ingelheim collaboration ended and research services for collaborators concluded. No AbbVie milestone payment was triggered in 2020.
- R&D expense declined 30%, primarily following completion of the NATIVE Phase IIb study and odiparcil iMProveS Phase IIa study. The decline should not be read as a forecast of lower future spending: the company expected costs to rise as it advanced lanifibranor into Phase III.
- G&A expense increased 40%, partly due to IPO-related insurance and consulting. Net financial expense shifted from €0.093 million income to €3.902 million expense, including €5.884 million of foreign-exchange losses, partly offset by €1.791 million of gains on currency forwards.
- Cash increased by €69.847 million year over year following equity financing and borrowing. Total debt rose to €10.055 million, predominantly State-guaranteed loans; the company notified the banks of its intention to extend maturity to May 2022.
- Year-end ordinary shares outstanding increased to 38,630,261, from 26,846,112 at the end of 2019, reflecting capital raises and share awards.
Outlook, risks, contingencies and unusual items
- Lanifibranor: Management planned NATIV3, a global, double-blind Phase III trial, with approximately 900 patients in the initial 72-week histology analysis and approximately 2,000 patients overall. The planned initial phase was intended to support a possible U.S. accelerated-approval and EU conditional-approval submission if results established a positive benefit-risk profile. Planned headline results were expected in the second half of 2024. These are forward-looking targets, not assured outcomes.
- The FDA granted lanifibranor Breakthrough Therapy and Fast Track designations. These designations do not guarantee approval or a faster review. The company remains dependent on clinical results, regulatory decisions, trial execution, manufacturing and future financing.
- Odiparcil: MPS-related R&D was suspended while Inventiva considered development options and potential collaboration; planned pediatric and extension trials were deferred.
- COVID-19: The company said the pandemic had not significantly affected FY2020 financial position or results, but warned of possible clinical recruitment, site, supply-chain and regulatory delays. A separate University of Florida NAFLD study was delayed, with results later expected in the first half of 2022.
- Tax matters: At year-end, provisions included €1.497 million for disputed 2013–2015 research tax credits and €0.880 million for the 2017 credit. A €1.224 million payroll-tax amount was reclassified to current liabilities after a recovery notice. Subsequent to year-end, the Dijon Administrative Court rejected a challenge concerning 2013–2015 payroll taxes; the filing describes an Abbott indemnity request of €2.0 million and additional tax proceedings. The company also impaired a €0.333 million tax-loss carryback receivable.
- Other unusual items: FY2020 other operating expenses included €2.881 million of Nasdaq IPO costs, €1.804 million of additional research-tax-credit provisions, and the €0.333 million tax-loss carryback impairment, partly offset by €2.863 million of corrective research-tax-credit claims. These claims and tax positions carry audit and recovery risk.
- Inventiva reported no material off-balance-sheet arrangements and no litigation then considered likely to have a material adverse effect. It had no sales and marketing organization, relied on third parties for clinical and commercial manufacturing, and expected to need substantial additional funding beyond its stated cash runway.
Important facts for investors to verify
- Confirm the NATIV3 start, enrollment, 72-week analysis and headline-results timing, and evaluate eventual efficacy and safety data against the stated endpoints.
- Track cash burn, Phase III costs, financing needs and whether the estimated runway through Q4 2022 remains achievable.
- Verify resolution and cash impact of French tax disputes, including research-tax-credit claims, payroll taxes, and the anticipated Abbott indemnity.
- Review the State-guaranteed loan extension and repayment terms, and monitor foreign-exchange exposure and hedging outcomes.
- Assess the implications of odiparcil’s suspension, collaborator progress on cedirogant, and any material changes in pipeline strategy or partnerships.
- Consider dilution and governance: year-end share count was 38,630,261; the co-founders’ double-voting rights and concentrated shareholder voting power are material features.
