Revenue rose 14.8% in Q2 and 26.6% in the first half, primarily from sponsored campaigns, larger managed campaigns, and repeat customers. Gross margin improved, but operating expenses grew faster than revenue: 70.3% year over year in Q2 and 43.7% in the first half. Management attributed the increase mainly to personnel, platform development, marketing, professional fees, and investor relations costs.

Reported net income was driven by a non-cash gain from changes in the fair value of warrants and other derivatives: $3.24 million in Q2 and $3.38 million in the first half. This valuation gain more than offset operating losses; it is sensitive to the company’s share price and market assumptions. Operating cash flow remained negative at $1.39 million for the first half, and investing cash flow was negative $0.30 million, including IZEAx development spending.

Cash was $9.75 million at June 30, 2014, versus $0.53 million at year-end 2013. The increase primarily reflected $10.95 million of net proceeds from a February equity private placement. Current assets were $11.36 million and current liabilities $2.34 million. The company reported $10.84 million of warrant liabilities, $88,912 of capital lease obligations, and no outstanding advances under its $1.5 million accounts-receivable credit facility. It said the financing provided sufficient cash for the foreseeable future, while noting its history of losses and negative operating cash flow.

Material changes, outlook, and risks

  • Q2 net bookings were $2.6 million, up approximately 40% from $1.8 million; first-half net bookings were $4.3 million, up approximately 24% from $3.5 million. Management uses bookings as a leading indicator and expected them to support higher 2014 revenue. The filing gives no formal revenue or earnings guidance.
  • The February 2014 private placement raised $12.0 million gross by issuing 34.3 million common shares at $0.35 per share, along with warrants. Common shares outstanding increased to 57.0 million at June 30; 57.5 million were outstanding as of August 8. Warrants, options, and other equity awards present substantial potential dilution.
  • IZEAx was in public beta, with continued development planned. Management anticipated further increases in personnel, sales and marketing, and office costs during 2014. The company cautioned that platform completion, adoption, and commercial success were uncertain.
  • Blue Calypso alleged patent infringement and sought unspecified damages. The case was stayed pending Patent Trial and Appeal Board review of five asserted patents; the company said it could not estimate the likelihood or amount of exposure and intended to defend the suit.
  • Registration rights agreements can require cash liquidated damages for non-compliance. The company also disclosed warrant anti-dilution provisions and the possibility that resale of registered shares could pressure the stock price. Its warrant liability is a Level 3 fair-value estimate based on unobservable inputs.
  • Management reported disclosure controls were effective as of June 30, 2014, with no material changes in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether operating cash burn and negative Operating EBITDA improve, independently of non-cash derivative valuation gains.
  • Whether IZEAx adoption, bookings, and campaign growth convert into recognized revenue and eventual operating profitability.
  • The potential dilution and market overhang from outstanding warrants, options, registered resale shares, and anti-dilution terms.
  • Future warrant-liability revaluations, including the effect of share-price movements and the July 2014 registration of certain 2013 warrant shares.
  • Developments in the Blue Calypso patent proceedings and any resulting financial exposure.
