Revenue rose 33.8%, led by a $1.44 million increase in sponsored revenue; net bookings increased about 60% to $7.3 million. Gross margin improved by two percentage points, which management attributed primarily to larger managed campaigns. Sponsored revenue was 87% of revenue in both years; media revenue was 5% in 2013 versus 7% in 2012, and service-fee revenue was 8% versus 6%.

At year-end, cash was $530,052, down from $657,946. Current assets of $2.38 million were below current liabilities of $2.52 million, implying negative working capital of approximately $135,000. Total assets were $2.95 million and total liabilities $4.40 million; stockholders’ deficit was $1.45 million. Convertible notes had been converted by year-end; capital-lease obligations totaled $77,865, and the balance sheet included a $1.83 million warrant liability. The company reported a $26.13 million accumulated deficit and a history of negative operating cash flow.

Changes, outlook and notable items

  • Operating expenses declined 5.9%. Sales and marketing expense fell 61.2%, while general and administrative expense increased 2.8%; management cited lower promotional spending and payroll, partly offset by higher stock compensation and professional fees.
  • FY2013 included a $251,847 net expense from changes in fair value of derivatives and notes carried at fair value. Such non-cash valuation changes contributed to year-to-year earnings variability.
  • In 2013, the company raised $2.18 million in cash through a private placement and converted $1.38 million of notes and accrued interest into equity. It also used short-term loans from director Brian W. Brady, which were converted to shares. The Bridge Bank facility had a $1.5 million maximum but no outstanding advances at year-end.
  • After year-end, on February 21, 2014, IZEA raised $12 million gross by issuing 34.29 million shares at $0.35 per share, plus warrants for up to 34.29 million additional shares. Net proceeds were designated for sales, marketing, partnerships, platform development, working capital and capital expenditures. The filing does not state the final net proceeds.
  • IZEA launched a public beta of its IZEA Exchange (IZEAx) on March 10, 2014, intending to integrate and eventually replace existing platforms. Management planned to focus engineering resources on it, but gave no quantified revenue, earnings or cash-flow guidance. It cautioned that IZEAx could increase revenue while reducing margins through partner economics.
  • Key risks include continued losses and financing needs; whether IZEAx can be completed and adopted; competition and platform dependence; falling active participation (creators completing transactions declined from about 77,000 in 2012 to 33,000 in 2013; advertisers creating opportunities declined from about 5,800 to 5,000); and customer concentration. Triad Retail Media accounted for 12% of 2013 revenue, and two customers represented 23% of year-end receivables.
  • Blue Calypso alleged patent infringement and sought unspecified damages. The case was stayed pending Patent Trial and Appeal Board review of all five asserted patents. IZEA said it could not estimate the likelihood or amount of exposure.
  • The 2014 financing creates substantial dilution and potential selling pressure. As of March 21, 2014, the filing reported 56.95 million common shares outstanding, 54.39 million warrants and 8.03 million options, as well as 1.72 million vested but unissued restricted shares. Registration deadlines also carry potential cash liquidated damages of 1% of investors’ purchase price per month if applicable obligations are not met.
  • The independent auditor issued an unmodified opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor was not engaged to express an opinion on internal control.

Important facts for investors to verify

  • Whether the 2014 financing proceeds, after fees, provide sufficient runway given continuing losses and operating cash use.
  • IZEAx adoption, transaction volume, revenue conversion, development spending and actual margin impact as the beta evolves.
  • Active advertiser and creator trends, repeat business, bookings conversion, and customer and receivables concentration.
  • Potential dilution, warrant exercise and resale-registration status, including any registration-related cash penalties.
  • Developments and financial exposure in the Blue Calypso litigation and PTAB review.
