Total cash, cash equivalents, restricted cash and short-term investments were $339.6 million, of which $0.8 million was restricted. Current assets were $344.3 million versus current liabilities of $16.3 million.
- Cash flow: Nine-month operating cash use was $31.0 million, compared with $6.5 million in 2021. Investing activities provided $59.9 million, primarily from net investment maturities, while financing activities provided $0.3 million. Cash, cash equivalents and restricted cash increased $29.2 million.
- Debt and other obligations: The filing reports no borrowings. Operating lease liabilities totaled $24.1 million, primarily related to the long-term Torrey Plaza office and laboratory lease. The lease’s remaining weighted-average term was 10.3 years.
- Equity and accumulated losses: Accumulated deficit was $94.4 million. Stock-based compensation was $13.0 million for the first nine months, up from $4.0 million in 2021.
Material changes versus the prior comparable periods
- Nine-month revenue increased $3.7 million, primarily as more employee time was spent performing Merck-funded research.
- Nine-month R&D expense increased $22.9 million, reflecting increased preclinical program activity, personnel, stock-based compensation and facility costs. Q3 R&D rose $5.3 million year over year.
- Nine-month G&A expense increased $10.2 million, mainly due to stock-based compensation, personnel and facilities, and other administrative costs.
- Net loss widened by $27.7 million for the nine-month period. Higher interest income partly offset the increased operating loss.
- Available-for-sale investments had $2.3 million of unrealized losses at September 30, 2022, compared with $0.3 million at year-end 2021. Management attributed the decline primarily to interest-rate and market conditions, not credit factors; no credit-loss allowance was recorded.
Outlook, commentary and risks
- Management said existing cash and investments were expected to fund operations for at least 12 months from the filing date. The company expects substantial operating losses for several years and anticipates needing additional financing to advance development; management cautioned that actual cash needs and runway may differ from estimates.
- JANX007 began its Phase 1 trial in October 2022, after the quarter-end; the company anticipated an interim clinical update in the second half of 2023. At the filing date, it expected to submit an IND for JANX008 in the second half of 2022, select a TROP2-TRACTr development candidate in 2023, and submit an IND for its PD-L1xCD28 TRACIr candidate in 2023.
- On August 9, 2022, Janux entered into an at-the-market sales agreement permitting up to $100.0 million of common stock sales. The filing gives no assurance that sales will occur or raise funds on favorable terms.
- The Merck agreement covers two selected targets. Janux reported up to $142.5 million in development and regulatory milestones per target, plus commercial milestones of up to $350.0 million per licensed product and tiered royalties. These amounts are contingent, and milestone and royalty revenue was excluded from the transaction price because it was constrained pending uncertain future events.
- Key risks include clinical and regulatory uncertainty, potential safety issues such as cytokine release syndrome and healthy-tissue toxicity, dependence on third-party manufacturers and research partners, future capital needs and possible dilution, and reliance on Merck for collaboration revenue. The company reported no material legal proceedings and no material operational disruption from COVID-19 to date.
- Subsequent event: On November 8, 2022, Chief Scientific Officer Shahram Salek-Ardakani resigned. Under a transition and consulting agreement, he is to receive $33,333.33 monthly for 12 months and COBRA premiums for nine months; his outstanding equity awards stopped vesting upon resignation.
