KLA Corporation — FY2023 Form 10-K
Period note: The filing is an annual report for the fiscal year ended June 30, 2023, with FY2022 comparisons; it is not a standalone 2022 Q4 filing. Amounts below are in U.S. dollars.
Business context and reporting period
KLA supplies inspection, metrology, process-control and related services for semiconductor and electronics manufacturing. Its three reportable segments are Semiconductor Process Control, Specialty Semiconductor Process, and PCB, Display and Component Inspection. The business is cyclical and heavily dependent on customer capital spending; approximately 88% of FY2023 revenue was international.

FY2023 gross margin declined mainly because of higher service and manufacturing costs, partly offset by increased revenue volume. R&D expense rose 17% to $1.297 billion; SG&A rose 15% to $986 million. Interest expense increased 85% to $297 million. The effective tax rate was 10.6%, compared with 4.8% in FY2022, which included a substantial one-time tax benefit from an intra-entity intellectual-property transfer.
Cash, cash equivalents and marketable securities totaled $3.243 billion at year-end, up from $2.708 billion. Working capital was $4.63 billion. Long-term debt had a $5.891 billion carrying value and $5.95 billion aggregate principal; no borrowings were outstanding under the $1.50 billion revolving facility. KLA repurchased $1.312 billion of shares and paid $733 million in dividends during FY2023.
Material changes versus FY2022
- Semiconductor Process Control revenue increased 18% to $9.324 billion, led by inspection and metrology demand.
- Specialty Semiconductor Process revenue increased 19% to $543 million, supported by advanced packaging, automotive power and RF-filter demand.
- PCB, Display and Component Inspection revenue declined 24% to $632 million amid market softening.
- Revenue from China was $2.867 billion, or 27% of total, versus 29% in FY2022; Taiwan contributed 24% and Korea 18%.
- Backlog/remaining performance obligations declined to $11.40 billion from $13.11 billion. Inventory increased to $2.877 billion from $2.147 billion.
- Restructuring charges increased to $44 million from $1 million, primarily related to workforce reductions substantially completed in the third and fourth fiscal quarters.
- FY2023 included a $29.7 million pretax gain on the Orbograph sale and a $13.3 million pretax loss on extinguishment of debt.
Outlook, commentary and risks
Management reported that the macro-driven slowdown was weighing on semiconductor demand and that memory and foundry/logic customers were reducing capacity-expansion spending plans for calendar 2023. KLA said it was moderating spending while continuing technology investment. The filing provides no specific numerical revenue or earnings guidance. Management expects to recognize approximately 40%–50% of year-end RPO beyond the next 12 months.
- China export controls: New U.S. licensing rules may restrict sales and support for certain China-based customers. Licenses are not assured; denial could reduce backlog, disrupt sales or require refunds of customer deposits.
- Orders and supply chain: Customers may push out, modify or cancel orders, and long lead times create revenue-timing and inventory-obsolescence risks. A supplier ransomware incident in February 2023 delayed some KLA shipments.
- Concentration and cyclicality: Two customers each exceeded 10% of annual revenue; the filing identifies TSMC and Samsung as major customers. Customer spending changes can have outsized effects.
- Inventory valuation: Inventory valuation was identified as a critical audit matter, given judgment involved in estimating future demand and obsolescence.
- Other exposures: Risks include competition and technology transitions, reliance on limited-source components, international and currency exposure, cybersecurity, litigation and tax audits, and natural-disaster risk. KLA does not currently carry earthquake insurance.
PricewaterhouseCoopers issued an unqualified audit opinion on the financial statements and internal control over financial reporting; management and the auditor concluded internal controls were effective as of June 30, 2023.
Investor verification priorities
- Confirm the reporting period: this is FY2023, not a standalone 2022 Q4 report.
- Track the effect of China licensing decisions on revenue, RPO, customer deposits and shipment plans.
- Monitor customer capex plans, backlog conversion and order pushouts or cancellations.
- Assess inventory growth and obsolescence reserves as demand and production plans adjust.
- Reconcile earnings growth with lower gross margin, higher interest expense and the FY2022 one-time tax benefit.
- Review debt service, capital returns and liquidity against the $5.95 billion principal debt balance and management’s 12-month liquidity assessment.
