  • Q2 revenue increased 5% year over year. Subscription revenue rose 7% to $40.7m, while professional services revenue fell 21% to $3.2m. For the first half, revenue grew 4%; subscription revenue increased 8% and professional services declined 31%.
  • Q2 EE&T revenue grew 2% to $31.2m, with segment gross margin improving to 74% from 68%. M&T revenue rose 10% to $12.7m, but segment gross margin declined to 43% from 52%, primarily reflecting higher production costs relative to subscription revenue.
  • Operating expenses declined 10% in Q2 and 7% in the first half, mainly following workforce reductions and lower sales and marketing costs. General and administrative expense increased, partly due to executive stock-based compensation.
  • Cash and cash equivalents were $40.2m and marketable securities totaled $30.4m at June 30. Current assets were $117.5m and current liabilities $131.7m. Total debt was approximately $32.9m; the company also had $21.1m in operating lease liabilities.
  • First-half operating cash use was $11.6m, versus $42.1m in the prior-year period. Investing activities provided $7.7m, including proceeds from marketable-security maturities; financing activities used $2.2m. Cash, cash equivalents and restricted cash ended the period at $40.3m.
  • ARR was $163.4m, up 8% year over year; net dollar retention was 100%, unchanged. Remaining performance obligations were $174.3m, with 59% expected to be recognized over the next 12 months.

Changes, outlook and risks

  • The January 2023 reorganization reduced the workforce by approximately 11%. Kaltura recorded $1.0m in related first-half severance costs; management estimated annualized cost reductions of approximately $16m. The plan was substantially completed in the first half.
  • Management described lower customer demand, spending and available budgets amid macroeconomic uncertainty, and said the post-pandemic rapid-growth trend was not expected to continue in 2023. It expects R&D and sales and marketing expenses to decrease in the near to medium term, with G&A relatively stable. The filing gives no specific revenue or earnings guidance.
  • Kaltura said cash, operating cash flow and the revolving facility should be adequate for at least 12 months, while noting that future financing may be needed and may not be available on favorable terms. The $35m revolving commitment was undrawn at quarter-end, subject to borrowing-base and other conditions.
  • The $33m term loan balance was due January 14, 2024; the loan’s reported rate was 8.84% at June 30. The company reported compliance with its financial covenants at quarter-end. Interest-rate exposure, currency fluctuations, customer concentration, competition, cybersecurity and the economic climate are among disclosed risks.
  • After quarter-end, a July 19 customer-agreement amendment reduced future commitments by approximately $7m, lowering unbilled RPO. A July 17 amendment to a cloud-provider agreement reduced remaining commitments by approximately $35m and changed its termination date to October 2024.
  • Other notable items: first-half stock-based compensation expense was $14.6m; one M&T customer represented 10.3% of Q2 revenue. Management reported effective disclosure controls and no pending legal proceeding it believed likely to have a material adverse effect.

Most important facts for investors to verify

  • Ability to refinance or repay the term loan due January 2024, and current availability under the revolving facility and borrowing-base conditions.
  • Whether reduced cash burn is sustainable, given the first-half operating cash outflow and continued GAAP net losses.
  • Effects of the post-quarter customer and cloud-provider amendments on future revenue, RPO and committed costs.
  • Whether M&T gross-margin pressure persists and whether EE&T gains and cost reductions can offset it.
  • Retention and expansion trends: NDR was 100%, while first-half EE&T revenue from existing customers declined; review subsequent-period ARR and renewal disclosures.
  • Share dilution and expense impact from equity compensation, including the $44.5m of unrecognized compensation cost reported at June 30.
