Material changes versus FY2022
- Revenue rose mainly on higher revenue per account following the TrueScience Liquid Collagen launch and product and shipping price increases. Liquid Collagen-related revenue, including bundled sales, was $39.8 million.
- Protandim revenue fell $15.9 million, while TrueScience revenue rose to $49.5 million from $22.9 million. Protandim remained the largest product line at $119.7 million.
- Americas revenue increased 12.3% to $155.4 million, while Asia/Pacific & Europe revenue fell 14.7% to $58.0 million. Foreign exchange reduced revenue by approximately $7.4 million.
- Active consultants declined 14.3% to 54,000; active customers declined 4.3% to 89,000; total active accounts declined 8.3% to 143,000.
- Gross margin contracted as a result of product mix, raw-material and manufacturing costs, shipping, and warehouse fulfillment expenses. SG&A increased to $71.1 million from $63.4 million; commissions and incentives decreased to $94.7 million from $97.3 million.
- FY2022 included a $2.2 million impairment charge on the company’s Gig Economy Group investment; no additional impairment was recorded in FY2023.
Outlook, risks and unusual items
Management gave no numerical FY2024 revenue or earnings guidance. It identified account growth, consultant and customer enrollment, improved early customer retention, rollout of the Evolve compensation plan and Rewards Circle loyalty program to additional markets, continued investment in the red-carpet leadership program, and mobile-app improvements as priorities. Management expressed optimism about product launches and potential growth, but these plans are not quantified forecasts.
- Key business risks include declining consultant and customer counts, dependence on a small number of products, competition, inventory and supply-chain execution, and reliance on third-party manufacturers and logistics providers.
- International revenue exposes the company to currency, regulatory, tax and market risks. Japan is a significant market; the company closed its China e-commerce business on March 15, 2023.
- Direct-selling compliance, consultant product or income claims, dietary-supplement and CBD regulation, product liability, and potential recalls could lead to costs or restrictions. The company said it had no open FDA or FTC letters at June 30, 2023 and did not maintain product-recall insurance.
- The company reported no material cybersecurity event in FY2023 and management concluded internal controls over financial reporting were effective. The independent auditor gave an unqualified opinion on the financial statements but was not engaged to opine on internal-control effectiveness.
- The Smith class action was dismissed with prejudice in December 2022. The filing reported no probable loss contingencies requiring accrual or disclosure at year-end.
- On August 9, 2023, stockholder Bradley L. Radoff notified the company of his intent to nominate three directors for the FY2024 annual meeting; a proxy contest was possible if no agreement was reached.
- After year-end, the board approved a regular $0.035-per-share quarterly dividend and a one-time $0.40-per-share dividend, both payable September 22, 2023. The credit facility’s dividend consent was stated to run through September 30, 2023.
