Gross profit / margin$182.0 million / 82.7%$195.0 million / 83.7%
Operating income / margin$17.6 million / 8.1%$15.5 million / 6.6%

Working capital at year-end$22.9 million$18.8 million
  • Revenue fell 5.5% year over year, while net income rose 11.7%. Lower operating expenses more than offset reduced sales; the effective tax rate increased to 25.2% from 21.2%.
  • Gross margin declined one percentage point, primarily because of higher shipping costs. SG&A fell to $60.8 million from $67.9 million, and commissions and incentives fell to $103.5 million from $111.6 million.
  • Operating cash flow was lower, principally reflecting increased inventory purchases, payments of accrued expenses and lease liabilities. Investing used $3.7 million, mainly for fixed assets; financing used $11.5 million, largely for share repurchases and employee tax withholding.
  • The $10 million term loan was fully repaid in FY2020. No amount was outstanding on the $5 million revolving facility at June 30, 2021. The facility was extended to March 2024, is secured by substantially all assets, and has financial covenants; the company reported compliance. Lease liabilities totaled $18.2 million.
  • FY2021 share repurchases totaled $11.9 million for 1.2 million shares. The authorization had $11.5 million remaining at year-end. No dividends were declared.

Material changes and operating trends

  • Americas revenue declined 7.0% to $154.7 million; Asia/Pacific & Europe revenue declined 1.6% to $65.5 million. The U.S. generated 66% of total revenue and Japan 19%.
  • Protandim revenue fell to $150.3 million from $156.3 million; TrueScience fell to $22.6 million from $23.7 million. Together, these product lines represented 78.5% of revenue, up from 77.3%.
  • Total active accounts declined 5.0% to 170,000. Active distributors declined 13.7% to 63,000, while active customers were nearly flat at 107,000. Americas active accounts fell 9.8%; Asia/Pacific & Europe active accounts rose 8.5%.
  • Revenue comparisons were affected by the prior-year launch of Protandim NAD Synergizer, which generated significant sales, and by COVID-19 restrictions on in-person events and distributor activity. Currency movements benefited FY2021 revenue by approximately $2.6 million.
  • Fourth-quarter revenue was $54.8 million versus $59.4 million a year earlier; net income was $4.9 million versus $3.8 million.

Outlook, risks and unusual items

  • No quantified FY2022 revenue or earnings guidance is provided. Management said its priorities include increasing the active account base, recruiting distributors, improving repeat ordering, investing in the red-carpet leadership program and distributor app, expanding products and markets, and resuming in-person events where possible.
  • Management said it believed cash and operating cash flow would meet requirements for at least the next 12 months. It also cautioned that COVID-19, distributor recruitment and retention, supply-chain and shipping constraints, foreign exchange, and economic conditions could affect results and liquidity.
  • Customer and distributor concentration in two product lines, direct-selling regulation and distributor claims, product-claim substantiation, and evolving rules for newly introduced hemp-derived CBD personal-care products are notable risks. Japan is a significant market and has specific restrictions on distributor enrollment practices and product ingredients.
  • A putative securities class action remains pending. The court allowed a securities claim to proceed; plaintiffs sought class certification in June 2021 and the company opposed it in July. The company recorded no litigation accrual, stating that loss was not probable or estimable; an unfavorable outcome could materially affect results.
  • The filing reports no probable loss contingencies requiring accrual or disclosure beyond its discussion of the lawsuit. It also reports no off-balance-sheet arrangements. A $2.2 million minority investment in Gig Economy Group remained carried at cost, with impairment risk noted due to the investee’s early-stage status.
  • The independent auditor gave unqualified opinions on the financial statements and internal control over financial reporting. Management also concluded controls were effective at year-end. The auditor identified income taxes and the cost-method investment impairment assessment as critical audit matters.

Investor verification points

  • Confirm whether the decline in active distributors and revenue stabilizes, particularly in the Americas, Japan and Greater China.
  • Assess repeat-customer ordering and the sales contribution and margins of new products, rather than relying on launch activity or management targets.
  • Monitor inventory growth, obsolescence and shipping costs, which contributed to lower gross margin and cash generation.
  • Review the securities lawsuit’s class-certification status and any subsequent change in the company’s assessment of potential loss.
  • Track covenant headroom, cash needs, lease commitments and the pace of share repurchases under the revolving facility and credit agreement.
  • Evaluate regulatory exposure for direct-selling practices, product claims and CBD products, as well as the company’s dependence on Protandim and TrueScience.
