Its principal product lines include Protandim, TrueScience, PhysIQ, Axio, Petandim, Omega+ and ProBio. Revenue rose 11.2% year over year, while operating income declined about 4.9%. Gross margin improved 0.3 percentage points. Net income increased 28.9%, helped in part by a lower effective tax rate: 19.5% versus 39.7%, including favorable discrete tax effects. FY2019 investing cash outflow was $4.5 million, including a $2.0 million convertible note investment and fixed-asset purchases; financing cash outflow was $11.1 million, including debt payments, share repurchases and shares withheld for taxes.
Fiscal Q4 2019 revenue was $56.2 million and net income was $3.9 million, compared with $54.0 million and $3.0 million, respectively, in fiscal Q4 2018. Q4 diluted EPS was $0.26 versus $0.21.
Material changes versus the prior comparable period
- Protandim revenue increased to $155.5 million from $133.9 million and represented 68.8% of FY2019 revenue. TrueScience revenue declined to $20.9 million from $21.7 million; together, the two lines accounted for approximately 78% of revenue.
- Americas revenue increased 7.7% to $163.2 million. Asia/Pacific & Europe revenue increased 21.6% to $62.7 million; Japan declined 2.5%, while Greater China and other markets grew.
- Active distributors increased 4.8% to approximately 66,000 and active customers increased 2.6% to approximately 119,000. Asia/Pacific & Europe distributor counts rose 22.2%, while Americas distributor counts declined 2.2%.
- SG&A increased to $69.6 million from $59.8 million, largely reflecting conventions and events, employee compensation and incentive costs. Commissions and incentives remained near 48% of revenue.
- Cash from operations improved, and term-loan principal fell to $1.5 million. The company repurchased $4.7 million of shares during FY2019; $8.8 million remained authorized at year-end.
Outlook, risks and unusual items
- Management stated that cash and expected operating cash flow should meet requirements for at least the next 12 months. It planned continued investment in distributor recruitment, product expansion and international markets, including Greater China; the filing provides no quantified earnings or revenue guidance.
- The credit facility includes financial covenants and restrictions on debt, dividends, investments and share repurchases. The company reported compliance at June 30, 2019 and expected continued compliance in the following year. The remaining term loan was scheduled for repayment during FY2020; the facility also provided a revolving line of up to $5.0 million.
- Foreign exchange remains a material exposure: about 33% of revenue came from outside the U.S. A hypothetical 10% strengthening of the U.S. dollar against relevant currencies would have reduced FY2019 revenue by an estimated $6.7 million, or 3.0%.
- Revenue is concentrated in a few product lines, especially Protandim, and depends on distributor retention and productivity. Other identified risks include regulatory scrutiny of supplement claims and direct selling, product and supply-chain issues, inventory management, competition, cybersecurity and distributor compliance.
- A purported class action alleges antitrust and other claims involving the company and its CEO. The company said it would vigorously defend the case and had not accrued a loss because liability was not considered probable or estimable; an unfavorable outcome could be material. Management reported no other probable loss contingency requiring accrual or disclosure.
- The company recognized about $0.5 million of revenue from deferred loyalty points after discontinuing the program in December 2018. It also held a $2.1 million convertible note receivable, including accrued interest, from Gig Economy Group; its maturity was extended to December 31, 2019. A former director was a majority owner/officer of that company, and two LifeVantage directors served on its board.
- Management and the auditor reported effective internal control over financial reporting at June 30, 2019. The filing describes a material weakness identified in 2016 concerning international operations and says remediation measures were implemented.
Key facts for investors to verify
- Confirm the period being analyzed: the annual filing is FY2019, with fiscal Q4 results, rather than calendar 2018 Q4.
- Assess whether revenue growth and distributor expansion can continue, particularly in newer international markets, while Japan remains a major market and declined year over year.
- Review the sustainability of margins and earnings, including higher SG&A, product concentration and the favorable FY2019 tax items.
- Check subsequent developments in the class action and the convertible note receivable, including repayment, conversion or further maturity changes.
- Monitor debt-covenant compliance, revolving-credit use, planned FY2020 debt repayment and remaining share-repurchase authorization.
- Evaluate regulatory and distributor-compliance risks, foreign-exchange sensitivity, and whether inventory and internal-control improvements remain effective.
