Revenue consisted of prototype sales of $0.125 million and development contracts of $0.511 million. Cost of revenue rose 53% to $2.261 million, reflecting costs on a Tier 1 supplier contract and higher scrap expense. R&D was $9.442 million, sales and marketing $6.268 million, and G&A $8.554 million. The $21.477 million investing cash inflow primarily reflected $22.0 million of marketable-security maturities; it was not operating cash generation.

Cash and marketable securities declined by about $20.6 million from year-end. Current assets were $82.438 million versus current liabilities of $17.715 million. Operating lease liabilities totaled $18.744 million, including current and noncurrent portions. Stock-based compensation was $6.513 million.

Changes, strategy and outlook

  • Revenue fell 41% year over year: prototype sales decreased 63% due to a temporary production pause for final design validation; development-contract revenue declined 32% as a large Tier 1 automotive supplier contract neared completion.
  • Management began a revised strategic plan focused on key products and critical customer engagements. It reported a workforce reduction of approximately one-third, mostly effective April 3, 2023, and expects lower R&D, sales and marketing, and G&A spending. Q1 included $1.253 million of restructuring charges; most related payments were expected in Q2.
  • Management expects continued losses for at least several years. It stated that available resources were expected to fund operating expenses, working capital and capital expenditures for at least 12 months from May 11, 2023, but warned that greater-than-expected cash needs could require further cuts or earlier fundraising.
  • Automotive generated 81% of Q1 revenue, and Continental AG accounted for approximately 81%; this concentration and dependence on design wins and eventual OEM commercialization are significant. Management says automotive programs can require years of development and validation. Contract manufacturing transition was completed in March 2023.

Risks, contingencies and unusual items

  • Financing and dilution: A $125 million equity purchase facility with Tumim Stone is subject to contractual limits; 1.145 million shares had been issued for $2.9 million by March 31. The additional convertible-note tranche is conditional, and the filing says several conditions were unmet as of May 5, 2023. Cash repayment may be required if equity-settlement requirements are not met.
  • Listing: Nasdaq had notified AEye that it was below the $1.00 minimum bid price, with a compliance deadline of July 19, 2023; failure to regain compliance could lead to delisting.
  • Customer, market and execution risks: Revenue depends on a small number of development programs and the Continental relationship. Lidar adoption, customer design wins, production timing, pricing, suppliers and contract manufacturers are uncertain.
  • Fair value and dilution exposure: The convertible note and related warrants are measured using significant valuation assumptions; changes contributed a $0.810 million loss in Q1. Potentially dilutive securities excluded from diluted EPS totaled approximately 67.9 million share equivalents.
  • Banking and legal matters: AEye regained access to all funds held at Silicon Valley Bank after its March 2023 failure and established accounts at other institutions. Management reported no known legal matter expected to materially affect financial position, results or cash flows; no subsequent event requiring disclosure was identified.

Investor verification priorities

  1. Track quarterly cash burn against the stated 12-month funding expectation, restructuring savings and any need for additional financing.
  2. Verify progress on automotive design wins, Continental-related programs, contract conversion to production, and customer concentration.
  3. Monitor revenue recovery and unit economics, particularly gross loss, scrap and cost of revenue after the production pause and manufacturing transition.
  4. Check the status and terms of the remaining note tranche, cash redemption obligations, equity-facility availability and resulting dilution.
  5. Confirm Nasdaq bid-price compliance and assess the impact of the workforce reduction on product development and customer execution.
