Material changes versus prior comparable periods
- Sales rose across all regions, driven principally by remote work and learning, video communications, and gaming demand associated with the pandemic. Q3 constant-currency sales growth was 80% versus reported growth of 85%.
- Q3 gross margin increased 780 basis points; nine-month gross margin increased 640 basis points. Management cited higher volume, restrained promotions, favorable product mix and exchange rates, which more than offset higher logistics costs.
- Operating expenses increased in dollars but declined as a share of sales: 18.0% versus 22.8% in Q3 and 20.8% versus 26.5% year to date.
- Growth was particularly strong in PC webcams (+309% Q3), tablet and other accessories (+342%), and video collaboration (+218%). Gaming increased 78%. Mobile speakers fell 22% and smart home fell 33% in Q3.
- The effective tax rate increased to 15.9% from 11.0% in Q3 and to 16.5% from 7.2% year to date. The company attributed the change primarily to income mix across tax jurisdictions and the transition from its prior Vaud tax ruling following Swiss tax reform.
- Cash increased by $673.2 million from March 31, 2020, while accounts receivable and inventory also rose substantially amid sales growth and inventory purchases intended to support anticipated demand.
Outlook, commentary, risks and unusual items
- The filing provides no specific revenue or earnings guidance. Management said higher logistics costs and other COVID-related gross-margin pressures were expected to continue through the remainder of fiscal 2021. It said the duration of elevated demand and the pandemic’s overall effects remained uncertain.
- COVID-19 both increased demand in several categories and disrupted manufacturing, supply chains and logistics, causing inventory constraints and higher costs. Demand trends may not be sustainable; disruptions or worsening economic conditions could adversely affect results.
- As of December 31, non-cancelable inventory purchase commitments were $853.1 million, mostly expected to be fulfilled within 12 months; capital expenditure commitments were $32.8 million. The company recorded a $5.6 million liability for firm inventory commitments exceeding anticipated demand or net realizable value.
- Unrecognized tax benefits were $158.8 million, up from $140.8 million at March 31. Logitech noted that uncertain tax positions could change significantly; tax reform and audits are relevant risks.
- The nine-month results included a $5.7 million increase in the fair value of Streamlabs acquisition contingent consideration. Logitech settled $28.5 million of the consideration by issuing treasury shares; $0.5 million remained in escrow.
- Other notable risks include currency movements, tariffs and trade restrictions, concentrated manufacturing and component suppliers, demand forecasting, product competition and innovation, and reliance on sales channels. Two customers each represented at least 10% of sales; Amazon and Ingram Micro together accounted for over a quarter of gross sales.
- Logitech reported several ordinary-course claims and a small number of legal proceedings, which it believed would not materially affect its financial condition or results based on information then available. It reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.
Important facts for investors to verify
- Whether pandemic-driven demand in webcams, collaboration, gaming and other categories persists, and how supply constraints and logistics costs affect margins.
- Whether inventory, receivables and the $853.1 million purchase commitment remain aligned with actual demand and channel inventory.
- How Swiss tax reform, jurisdictional income mix and uncertain tax positions affect future tax expense and cash taxes.
- Exposure to major customers, manufacturing concentration, component availability, tariffs and foreign exchange movements.
- Capital allocation: the filing reported $177.6 million remaining under the $250 million share buyback authorization; future dividends remain subject to shareholder approval.
