- Sales rose 7% overall; retail sales increased 13%, while OEM sales were zero following Logitech’s exit from that business. Constant-currency retail growth was also 13%.
- Gross margin declined 0.2 percentage points, reflecting unfavorable currency movements and Jaybird acquisition-related amortization and inventory purchase-accounting charges, partly offset by product cost reductions and supply-chain savings. Operating expenses fell to 29.8% of sales from 32.2%, chiefly as restructuring charges dropped substantially.
- Cash and equivalents were $440.1 million at June 30, down from $519.2 million at March 31. Working capital was $456.7 million, versus $511.3 million. Current assets were $916.7 million and current liabilities $460.0 million.
- Total liabilities were $626.0 million; shareholders’ equity was $758.9 million. Logitech reported no borrowings under its $44.6 million of uncommitted bank lines; $15.6 million of bank guarantees were outstanding under those lines.
- Investing cash outflow was $61.7 million, including $54.0 million for Jaybird net of acquired cash and $7.4 million of capital expenditures. Financing cash outflow was $29.7 million, including $24.4 million of share repurchases and $9.2 million of employee tax withholdings. Cash decreased by $79.1 million during the quarter.
Material changes and business developments
- Jaybird, a wireless audio wearables business, was acquired on April 20 for $54.2 million cash consideration, plus contingent consideration with an acquisition-date fair value of $18.0 million and potential earn-out payments of up to $45.0 million. Jaybird contributed $14.3 million in sales and a $1.8 million operating loss, including acquisition-related amortization and inventory accounting effects.
- Growth was strongest in mobile speakers (+41%), gaming (+29%), audio-PC and wearables (+24%), and video collaboration (+13%). Tablet and other accessories declined 26%, primarily reflecting a weaker iPad market; pointing devices were flat.
- Sales grew 7% in the Americas, 24% in EMEA and 12% in Asia Pacific. Two customer groups represented 13% and 12% of quarterly sales, respectively; the United States accounted for 41%.
- Prior-year results included a $5.4 million loss from discontinued Lifesize operations; Lifesize had been divested in December 2015. The current quarter had no discontinued-operations result.
Outlook, risks and unusual items
- Management said available cash, projected operations and reduced expenses should provide sufficient liquidity for at least the next 12 months. No specific quarterly or full-year revenue or earnings guidance is provided in the filing.
- The board planned to seek shareholder approval for a fiscal 2016 dividend of CHF 90.2 million, approximately $92.7 million at the June 30 exchange rate. Logitech repurchased 1.6 million shares for $24.4 million in the quarter under its $250 million buyback authorization.
- Management cited strong demand trends in music, gaming and home, while noting ongoing PC shipment declines and weakness in tablet accessories. New product execution, demand forecasting, competition, channel inventory and product transitions could affect sales, margins and cash flow.
- Currency exposure remains material: 45% of quarterly sales were denominated in currencies other than U.S. dollars, and management warned that a persistently strong dollar could adversely affect future results. The company uses currency hedges but cautions that they may only partially offset exposure.
- Logitech paid a $7.5 million SEC civil penalty in April 2016 to settle matters related to prior accounting and distributor transactions, without admitting or denying the SEC’s findings. Ordinary-course legal matters remain pending; management said it did not expect their resolution to materially harm results, while noting litigation uncertainty.
- Unrecognized tax benefits were $70.3 million; management said these could change significantly, and up to $15.5 million could decrease over the next 12 months from statutes of limitation lapsing. The Jaybird earn-out and purchase-price allocation are estimates subject to change.
- Other disclosed risks include product innovation and quality, dependence on third-party platforms and suppliers, manufacturing concentration in China and Southeast Asia, evolving consumer preferences, and execution of cost-saving and growth initiatives.
Investor facts to verify
- Whether retail growth and strong category performance continue, especially in mobile speakers, gaming and wearables, and whether tablet accessory weakness persists.
- Whether gross margin stabilizes despite currency headwinds and Jaybird-related amortization and purchase-accounting charges.
- Jaybird’s subsequent revenue growth, operating performance, final acquisition accounting and any change in earn-out fair value or payment likelihood.
- Cash generation and working-capital trends, including the effect of receivables, inventory, payables, buybacks and the proposed dividend on liquidity.
- Developments in uncertain tax positions, SEC-related matters, pending legal claims and any potential Lifesize indemnification obligations.
