Revenue came from initial customer volumes of Loop PET resin produced using monomers from the Terrebonne facility. Revenue is immaterial relative to expenses; the filing does not present a meaningful gross margin. The reduced net loss primarily reflected lower R&D spending, partly offset by higher G&A. R&D fell mainly because of lower machinery/equipment, engineering, compensation, and plant/laboratory costs. G&A rose largely due to legal and other professional fees related to Reed and Ester partnerships.

  • Liquidity: Cash and cash equivalents were $5,291 at May 31, versus $6,958 at February 29, 2024. Current assets were $6,157 and current liabilities $3,135.
  • Debt: Long-term debt, including its current portion, totaled $5,799 at May 31, up from $3,320 at February 29, mainly reflecting $2,517 borrowed under a Canadian bank credit facility. The facility is secured by the Terrebonne property, bears interest at Canadian prime plus 1%, and has a quarterly minimum-equity covenant; Loop reported compliance at quarter-end. Investissement Québec debt also remains outstanding.
  • Other balance-sheet items: Total assets were $18,742; stockholders’ equity was $9,268, down from $14,142. Inventory net of an $803 write-down allowance was $99.

Material changes, outlook, and risks

  • Management states that available liquidity and forecast cash flows will not cover obligations, commitments, and budgeted expenditures for the next 12 months from issuance of the statements. The filing identifies material uncertainty raising substantial doubt about Loop’s ability to continue as a going concern. Additional financing is necessary; there is no assurance it will be obtained or on favorable terms.
  • On May 30, 2024, Loop signed binding agreements, subject to closing conditions, for a €35 million Reed investment: €10 million in five-year convertible preferred securities with a 13% PIK dividend, plus a €25 million loan in two tranches with a 13% PIK interest rate and three-year terms. Closing principally depends on Reed completing its first fundraise and Loop obtaining a binding government financing commitment. Loop said it was pursuing bridge-financing contingency plans if closing were delayed. The agreements had not yet closed as described in the filing.
  • On May 1, Loop agreed with Ester Industries to form a 50/50 India joint venture. The planned facility is expected to produce 70,000 tonnes of rDMT and 23,000 tonnes of rMEG annually. Estimated initial project funding is $165 million, with each partner to contribute half of initial equity; no Loop contribution had been made as of the filing. Groundbreaking was targeted by the end of 2024, construction completion by the end of 2026, and commercial operations in early 2027—targets dependent on financing and execution.
  • The planned South Korea facility with SK Geo Centric is under review as partners assess capital-cost reductions and government subsidies; its timing is unsettled. Loop also continues development of its planned European facility with partners.
  • Loop highlighted a May 2024 product launch with On AG using yarn made with its technology. This does not change the company’s stated pre-commercialization status or its very limited reported revenue.
  • The SEC investigation and related complaint remain disclosed. The company says the complaint does not allege wrongdoing by Loop or its CEO; the company cannot predict the investigation’s resolution or any action. Management reported no material changes to the risk factors in its latest annual report.
  • Disclosure controls and procedures were assessed as effective at May 31, 2024; no material change in internal control over financial reporting was reported during the quarter.
