Liquidia Corporation — FY 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; filed March 13, 2024. This is an annual report, not a standalone Q4 report. Financial amounts below are in U.S. dollars.
Business context
Liquidia is a biopharmaceutical company focused on rare cardiopulmonary diseases, particularly pulmonary arterial hypertension (PAH) and pulmonary hypertension associated with interstitial lung disease (PH-ILD). Its current revenue is primarily a share of profits from Sandoz’s generic treprostinil injection under a promotion agreement. Its lead candidate, inhaled dry-powder treprostinil YUTREPIA, has FDA tentative approval for PAH but cannot be marketed until final approval. The company is also developing L606, a twice-daily liposomal treprostinil formulation licensed from Pharmosa.

- Revenue increased 10%, mainly from favorable chargeback, rebate and managed-care adjustments, partly offset by lower sales quantities. Approximately 99% of revenue came from the Sandoz promotion agreement.
- R&D rose 122%, including a $10 million upfront L606 license payment, additional L606 program costs, YUTREPIA pre-launch manufacturing and study activity, and higher personnel costs. G&A rose 38%, largely from personnel and commercial preparation for a potential YUTREPIA launch.
- At year-end, cash and cash equivalents were $83.7 million, down from $93.3 million; total assets were $118.3 million and stockholders’ equity was $47.3 million. Accumulated deficit was $429.1 million. The filing reports no cash-flow or profitability margins.
- Year-end revenue-interest financing payable to HCR was $46.0 million, including $2.6 million current and $43.4 million noncurrent. The company had no long-term bank debt at year-end after repaying its SVB loan in January 2023. RIFA interest accretion and issuance-cost amortization contributed to financing expense; the reported effective annual rate for 2023 was approximately 17%.
- Post-year-end financing: HCR funded another $25 million on January 4, 2024, and Liquidia received approximately $75 million gross from a January private placement. These proceeds were not included in December 31, 2023 cash.
Material changes, outlook and key risks
- YUTREPIA approval and litigation: The FDA tentatively approved YUTREPIA for PAH in 2021; Liquidia amended its NDA in July 2023 to seek a PH-ILD indication. United Therapeutics litigation continues to affect timing. Although the Federal Circuit affirmed the PTAB’s finding that the ’793 patent claims were unpatentable, the district court’s order blocking final approval remained in place pending Liquidia’s motion to set it aside. Separate PH-ILD patent litigation and United Therapeutics’ lawsuit against the FDA, including a request for a temporary restraining order, were pending at filing. Final approval and launch timing remain uncertain.
- Management outlook and going concern: Management expects continued operating losses and says year-end cash, excluding future YUTREPIA revenue, should fund operations, capital expenditures, RIFA payments and minimum-cash covenants for at least 12 months from issuance of the financial statements. However, management warned that if YUTREPIA is not fully approved and generating sales, or additional capital cannot be accessed, by issuance of the Q2 2024 financial statements, substantial doubt about continuing as a going concern could arise. The auditor included an emphasis-of-matter paragraph regarding recurring losses and potential need for additional capital.
- RIFA constraints: The HCR facility allows up to $100 million, but further advances require mutual agreement. It includes fixed payments or, depending on funding and commercialization terms, revenue-based payments, minimum cash covenants of $7.5 million during 2024 and $15 million thereafter, restrictive covenants, and acceleration provisions.
- Commercial and supply risks: Sandoz’s generic treprostinil revenue is exposed to generic competition and constrained access to subcutaneous CADD-MS 3 pumps. Smiths Medical plans to stop supporting those pumps after January 1, 2025; specialty pharmacies were not placing new subcutaneous patients on therapy because available pumps were limited. A replacement pump was targeted for FDA 510(k) submission in the first half of 2024, but clearance and timing are not assured.
- Development and execution: Liquidia relies on single-source suppliers for key YUTREPIA components and L606 supply. YUTREPIA manufacturing scale-up, device and supplier readiness, regulatory review, reimbursement, market acceptance and competition may delay or limit commercialization. L606 remains investigational; the company planned to complete its open-label study enrollment in 2024 and initiate a PH-ILD pivotal study in late 2024.
- Near-term catalyst: United Therapeutics’ PH-ILD exclusivity for Tyvaso was stated to expire March 31, 2024, but expiration alone does not resolve the outstanding litigation or guarantee FDA approval.
Most important facts for investors to verify
- Whether the district court lifts the YUTREPIA injunction, and the outcomes and timing of the PH-ILD patent and FDA litigation.
- Whether the FDA grants final approval for YUTREPIA, for which indications and on what timeline; verify any post-tentative-approval review requirements.
- Updated cash runway, cash-covenant compliance, HCR tranche availability and payment obligations, and the impact of the January 2024 financing and share issuance.
- Progress, FDA clearance and availability of a replacement subcutaneous pump, and the effect of pump constraints on Treprostinil Injection sales.
- YUTREPIA commercial manufacturing readiness and single-source supply continuity; L606 enrollment and pivotal-trial timing.
