Quarterly revenue grew 17.6%; six-month revenue rose 10.7%. Gross margin declined in both comparisons, which management attributed primarily to product mix and higher international freight and related costs. Quarterly operating expenses increased $0.9 million; six-month expenses increased $1.1 million. The six-month net loss widened despite higher revenue.

Revenue mix: IoT System Solutions increased 54.4% in the quarter and 42.4% for six months, driven in part by higher custom-solution shipments for a European smart energy grid customer and out-of-band products. Embedded IoT Solutions fell 13.9% in the quarter and 19.6% for six months. Software & Services declined 23.0% in the quarter and 2.6% for six months. EMEA revenue grew sharply, while APJ revenue fell 48.6% in the quarter and 43.9% for six months.

Cash, debt, and liquidity

  • Cash and cash equivalents were $22.1 million at December 31, 2023, up $8.7 million from June 30, 2023. Working capital was $51.9 million, compared with $50.2 million.
  • For the six months, operating cash flow was positive $11.5 million, versus use of $10.0 million a year earlier. Investing activities used $1.2 million; financing activities used $1.6 million. Cash generation benefited from inventory reduction and other working-capital movements.
  • Term-loan borrowings were $17.9 million gross ($17.7 million net carrying value); no revolving-credit borrowings were outstanding. The facilities mature August 2, 2025, bear variable interest, are secured by substantially all company assets, and require minimum liquidity of $4.0 million at SVB. The company reported compliance with all financial covenants.
  • Management stated that cash holdings and expected operating cash flows, together with continued access to the undrawn credit facility, should fund obligations and requirements for at least the next 12 months and beyond. This is subject to risks, including access to financing and cash held at financial institutions.

Other material developments, outlook, and risks

  • In October 2023, Lantronix reduced its workforce; six-month restructuring charges were $0.55 million. The company said it may incur further restructuring charges.
  • The Uplogix acquisition earnout was paid in full in December 2023; the liability was zero at period-end.
  • Customer deposits and refunds included a significant prepayment for expected future shipments. Other current liabilities increased, largely due to deposits under a customer contract.
  • No specific revenue or earnings guidance was provided. Management cited project-based orders, lengthy sales cycles, limited demand visibility, and customer concentration as sources of variability.
  • Risks include semiconductor and other component shortages, reliance on Asian contract manufacturers and distributors, customer and project concentration, variable interest rates, and potentially uninsured deposits. Management noted long semiconductor lead times and higher costs for alternate component sources.
  • Disclosure controls and procedures were deemed ineffective as of December 31, 2023 because of a material weakness in IT general controls: user access to financial applications and data was not adequately restricted. Management is implementing remediation and expected to complete it during fiscal 2024; it was not yet considered remediated. Management said additional procedures were performed and the interim statements fairly present the company’s financial position and results.
  • The company reported ordinary-course legal matters that it did not expect, individually or collectively, to have a material adverse effect, while noting litigation can still incur costs and divert management resources.

Important facts for investors to verify

  • Whether the IoT System Solutions growth, including the European smart-grid ramp, continues and is not overly dependent on a limited number of customers or projects.
  • Whether gross margins recover from the year-over-year decline and whether freight, component, and product-mix pressures ease.
  • Whether positive operating cash flow is sustainable as receivables, customer deposits, inventory, and vendor payments change.
  • Current liquidity, variable-rate debt costs, covenant headroom, and continued access to SVB-held cash and the undrawn credit facility.
  • Progress and testing evidence for remediation of the IT access-control material weakness, expected by the end of fiscal 2024.
  • Whether supply constraints, distributor dependence, and customer concentration affect shipments, revenue predictability, or inventory risk.
