LEXICON PHARMACEUTICALS, INC. quarterly report, Q1 FY2024

Lexicon Pharmaceuticals, Inc. — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024. Lexicon is a biopharmaceutical company commercializing INPEFA in the U.S. and developing sotagliflozin, LX9211 and other candidates. Financial statements are unaudited.

Financial performance and liquidity

  • Revenue: $1.13 million, versus $24,000 in Q1 2023. Product revenue was $1.09 million, primarily from INPEFA; royalties and other revenue were $37,000.
  • Expenses and losses: Cost of sales was $31,000. Research and development expense was $14.4 million, up 20%; selling, general and administrative expense was $32.1 million, up 68%, largely reflecting INPEFA commercialization spending. Operating loss was $45.3 million; net loss was $48.4 million, or $0.20 per share, compared with a $31.9 million net loss, or $0.17 per share, in Q1 2023.
  • Margins: Reported product revenue less cost of sales was approximately $1.06 million. This is not necessarily indicative of ongoing product economics: much of the available INPEFA raw material was previously recorded at zero cost or as R&D expense.
  • Cash flow: Cash used in operations was $55.1 million, compared with $31.6 million in Q1 2023. Investing activities used $110.2 million, mainly from net purchases of investments; financing provided $239.4 million, principally from the preferred-stock placement.
  • Liquidity: Cash, cash equivalents and short-term investments totaled $355.6 million at March 31, 2024, versus $170.0 million at year-end 2023. Total current assets were $364.6 million and current liabilities $23.4 million.
  • Debt: Oxford term debt had a $99.9 million carrying value. Its weighted-average interest rate was 12.9%; the loans are secured by company assets and mature in March 2027. The company was in compliance with debt covenants at quarter-end.

Material changes and capital structure

  • On March 11, Lexicon raised approximately $242 million net through a private placement of 2,304,147 Series A convertible preferred shares. Subject to specified corporate approvals, each preferred share converts into 50 common shares—approximately 115 million additional common shares in total.
  • Operating expenses and net loss increased year over year, while the increase in liquidity primarily reflects the preferred-stock financing. Common shares outstanding were 247.8 million at March 31; the filing reports 246.2 million outstanding as of April 29.
  • The company also has an unused at-the-market common-stock sale authorization of up to $75 million.

Outlook, risks and contingencies

  • Management expects current unrestricted cash and investments, together with future revenues, to fund planned operations for at least the next 12 months from the filing date. It expects substantial continued spending on INPEFA commercialization and R&D, and says significantly higher revenue is needed to reach profitability.
  • Near-term business priorities include INPEFA commercialization; preparing to resubmit the sotagliflozin NDA for type 1 diabetes patients with CKD following FDA feedback; preparing a Phase 3 sotagliflozin trial in hypertrophic cardiomyopathy; and continuing the Phase 2b LX9211 trial in diabetic peripheral neuropathic pain.
  • Key risks include weak INPEFA adoption, failure or delay in regulatory approval or clinical development, dependence on external manufacturers and collaborators, continued losses and need for future capital, and Oxford debt covenants and floating-rate interest exposure. The INPEFA net-sales covenant was amended in March and becomes effective June 30, 2024; a clear description of the amended threshold is not provided in the filing text.
  • Oxford debt requires a minimum cash-and-investments balance of $10 million until specified INPEFA sales are achieved; this rises to $25 million if the fourth tranche is funded. Additional contingent obligations include $4.5 million of sotagliflozin royalties upon approval for type 1 diabetes in a major market and a $5 million LX9211 milestone upon first-patient dosing in Phase 3.
  • Lexicon reports that ordinary-course legal proceedings are not expected to have a material adverse effect. No material changes to disclosure controls were reported.
