Magnite, Inc. — FY 2021 Form 10-K

Reporting period: Fiscal year ended December 31, 2021; filed February 23, 2022. This is an annual report, not a standalone fourth-quarter filing, so quarterly results are not summarized here. The year included the April acquisition of SpotX, the July acquisition of SpringServe, and the December acquisition of Nth Party.

Operating expenses totaled $549.5 million, including $121.9 million of acquired-intangible amortization and $38.2 million of merger, acquisition, and restructuring costs. The $95.1 million income tax benefit—primarily associated with acquisition-related deferred tax liabilities and valuation-allowance changes—more than offset the $95.0 million pretax loss and drove reported net income to $0.1 million. Net income should therefore not be read as an indication of positive operating earnings.

Revenue mix and changes from prior year

  • SpotX and SpringServe expanded CTV and video offerings and materially increased reported revenue. CTV accounted for 40% of FY 2021 revenue, compared with 15% in FY 2020; mobile was 35% and desktop 25%.
  • Revenue ex-TAC by channel was CTV $143.4 million (FY 2020: $34.3 million), mobile $160.1 million (FY 2020: $108.4 million), and desktop $113.0 million (FY 2020: $76.9 million). Management attributed growth to acquisitions, organic growth, and recovery from pandemic-related advertising weakness.
  • Reported gross-basis revenue rose to $79.1 million, or 17% of revenue, from $3.4 million, or 2%, in FY 2020. Management notes that this presentation mix raises reported revenue and lowers gross margin percentage without a corresponding change in gross profit or Revenue ex-TAC.
  • Operating cash flow improved to $126.6 million from a $12.1 million use in FY 2020. Accounts receivable increased to $927.8 million, while accounts payable and accrued expenses reached $1,001.0 million; the filing says collection and seller-payment timing can cause substantial working-capital fluctuations.
  • The company used $691.0 million in investing activities, including $661.9 million net cash for acquisitions, and generated $678.1 million from financing activities, principally debt and convertible-note proceeds.

Debt, liquidity, and capital allocation

Year-end current assets were $1,178.1 million and current liabilities were $1,029.4 million. Magnite reported $230.4 million of cash and $758.2 million of gross debt: $358.2 million under a senior secured Term Loan B and $400.0 million principal amount of 0.25% convertible notes due March 2026. The Term Loan B carried a 5.75% contractual rate at year-end, with a 0.75% floating-rate floor; scheduled principal amortization is 1% annually. The $65.0 million revolving facility had no borrowings, with $59.9 million available after letters of credit. The company reported compliance with debt covenants at year-end.

The board authorized a $50.0 million share-repurchase program in December 2021. Magnite repurchased approximately $6.0 million of shares by year-end, leaving approximately $44.0 million authorized. Management stated that cash, expected operating cash flows, and revolver availability were expected to meet working-capital needs for at least 12 months from issuance of the financial statements, subject to business and market conditions.

Outlook, management commentary, and risks

  • Management expected revenue, Revenue ex-TAC, and Adjusted EBITDA to increase in 2022, supported by organic growth, acquired businesses, operating leverage, and further synergies. CTV was identified as the primary expected growth driver; desktop was expected to be a lower-growth business and a drag on the overall growth rate.
  • Magnite targeted more than $35 million in run-rate operating-cost synergies over two years from the SpotX integration and reported achieving more than half of the target on a run-rate basis by December 31, 2021.
  • Management said pandemic-related and macroeconomic challenges could persist through the first quarter of 2022, including Omicron effects and supply-chain disruptions affecting advertising categories such as travel and auto. Results are seasonal, with advertising activity typically higher in the fourth quarter.
  • Key business risks include dependence on continued CTV growth and access to concentrated premium CTV inventory; buyer and seller concentration and fee pressure; competition from large platforms and “walled gardens”; privacy regulation and the transition away from third-party cookies; integration and synergy execution; and scaling infrastructure while controlling costs.
  • Two buyers indirectly accounted for approximately 36% of FY 2021 revenue through their buying activity. At year-end, two buyers represented 44% and 10% of accounts receivable, respectively.
  • The $95.1 million tax benefit was an unusual, acquisition-related item. Acquisition accounting also increased goodwill and intangible assets substantially; goodwill was $969.9 million at year-end.
  • The auditor gave unqualified opinions on the financial statements and internal control over financial reporting. However, management excluded certain SpotX controls from its year-end assessment; those excluded elements represented approximately 34% of FY 2021 revenue and 10% of total assets.
  • Legal and regulatory matters were described as routine, and management did not expect known matters, individually or in aggregate, to have a material adverse effect. Outcomes remain uncertain.

Important facts for investors to verify

  1. Separate organic growth from acquired revenue: the reported 111% revenue increase contrasts with 30% pro forma growth.
  2. Assess operating performance using GAAP operating loss and cash flow alongside Adjusted EBITDA and Revenue ex-TAC; review the large acquisition-related tax benefit and gross-versus-net revenue presentation.
  3. Track CTV growth, inventory access, customer concentration, take rates, and progress toward the stated cost-synergy target.
  4. Monitor debt service, floating-rate exposure, covenant headroom, working-capital movements, and the potential dilution or cash settlement associated with the convertible notes.
  5. Follow integration of SpotX and SpringServe, including completion of SpotX control integration, and assess privacy, identity, and cookie-transition developments.
