  • Q2 revenue fell 51%, primarily because the prior-year quarter included $14.7m recognized under the 2021 Zai Lab agreement; manufacturing revenue also declined. Provention-related revenue increased $5.5m. First-half revenue was broadly unchanged year over year.
  • Q2 and first-half net income included a $100.9m gain from the modification of the TZIELD royalty monetization arrangement. Without this gain, the company reported operating losses of $45.0m for Q2 and $83.4m for the first half; the filing does not provide adjusted net income excluding the gain.
  • Research and development expense was $43.2m in Q2 and $89.1m in the first half, down 16% and 21%, respectively. Lower spending on several discontinued or reduced programs was partly offset by higher ADC and lorigerlimab development costs; Q2 vobra duo costs also increased. SG&A was $13.7m in Q2 and $27.2m in the first half.
  • At June 30, cash and cash equivalents were $108.8m and marketable securities were $131.6m, totaling $240.3m. Current assets were $254.7m versus current liabilities of $45.2m. Six-month cash and cash equivalents declined by $0.1m to $108.8m.
  • Six-month investing cash outflow was $85.4m, mainly purchases of marketable securities; financing cash inflow was $100.2m, including $99.7m net proceeds from the royalty transaction. The filing reports lease liabilities of $34.3m in total at June 30; the royalty-related liability was reduced to zero following the agreement modification. No conventional borrowings are presented on the balance sheet.
  • Revenue mix includes MARGENZA product sales of $5.1m in Q2 and $8.6m for the first half. First-half contract manufacturing revenue was $5.2m, royalty revenue $0.4m, and collaboration and other agreement revenue $22.7m.

Material developments and outlook

  • TZIELD royalty transaction: MacroGenics received $100m from DRI in March 2023 for its single-digit TZIELD royalty interest. In April, Sanofi acquired DRI’s royalty interest and related milestone obligations. MacroGenics retained a 50% share of royalties above a specified annual sales threshold and other potential milestone rights; the modification generated the $100.9m accounting gain.
  • Subsequent event: On July 28, 2023, Sanofi reported that the PROTECT study of TZIELD in newly diagnosed stage 3 type 1 diabetes met its primary endpoint. This triggered a $50m milestone payment to MacroGenics after quarter-end; it is not included in June 30 results.
  • Funding outlook: Management stated that cash, cash equivalents and marketable securities at June 30, combined with anticipated and potential collaboration payments, product revenue, manufacturing revenue and royalties, should fund operations into 2026. The liquidity note separately states that current resources are expected to fund operating plans for at least 12 months from the filing date. Both projections depend on assumptions and future receipts.
  • Planned spending includes the Phase 2 TAMARACK trial of vobra duo in metastatic castration-resistant prostate cancer, the Phase 2 lorigerlimab study in that indication, and other clinical and preclinical programs. Management cautioned that failure to obtain new arrangements or capital could require delaying or reducing programs or cutting costs.
  • Key uncertainties include clinical and regulatory outcomes, collaborator decisions and milestone timing, commercialization and manufacturing execution, access to additional capital, competition, and macroeconomic and geopolitical conditions. The company reported no material changes to its previously disclosed risk factors and no expected material adverse effect from ordinary-course legal proceedings, while noting an unfavorable resolution could affect results or cash flows.
  • Management assessed disclosure controls as effective at the reasonable-assurance level and reported no material change in internal control over financial reporting during the quarter.
