License revenue reflects amortization of Janssen upfront and milestone payments, not product sales. Janssen research and development reimbursements are recorded as offsets to R&D expense: $21.8 million in Q2 2023 and $44.4 million in the first half, versus $16.2 million and $29.5 million, respectively, in 2022.

Q2 net loss improved year over year, mainly because a $10.4 million foreign-currency loss in Q2 2022 became a $1.9 million gain in Q2 2023. However, operating loss widened as lower license revenue more than offset lower operating expenses. For the first half, net loss narrowed despite a larger operating loss, primarily reflecting the year-over-year foreign-currency swing. The filing does not present a conventional operating margin; the company remained loss-making.

Liquidity, cash flow and debt

  • Cash and cash equivalents were $92.8 million at June 30, 2023, down from $115.5 million at December 31, 2022. Related-party receivables, primarily due from Janssen, were $32.7 million.
  • First-half cash used in operations was $66.4 million; capital expenditures were $13.6 million. A $62.0 million gross private placement, or $57.9 million net proceeds after issuance costs, contributed to financing cash flow.
  • Current assets were $143.1 million and current liabilities $71.8 million. Accumulated deficit was $530.1 million.
  • Debt consisted of $75.0 million principal under the Perceptive note financing; the balance sheet reported the note at $71.6 million net of discount. The annual floating interest rate was 14.81% at June 30, 2023; the notes mature August 2, 2026 and are interest-only during the term. First-half interest expense was $6.4 million.
  • Management estimated available cash, Janssen receivables and expected collaboration funding would support operating expenses and capital spending into Q2 2025, subject to assumptions. The financial-statement liquidity note separately states that cash and related-party receivables were expected to cover expenses for at least 12 months from issuance.

Material changes and operating developments

  • May 2023 private placement issued 10.8 million ordinary shares at $5.75 per share for $62.0 million gross proceeds. Shares outstanding rose to 59.5 million at June 30, from 48.5 million at year-end 2022.
  • First-half gross R&D costs increased to $86.7 million from $76.6 million, driven particularly by bota-vec and AAV-hAQP1 clinical work. Janssen reimbursement increased to $44.4 million, reducing reported net R&D expense to $42.3 million, down from $47.1 million.
  • G&A increased to $25.2 million from $21.8 million for the first half, primarily due to legal and accounting fees and payroll-related costs.
  • Cash used in operations rose to $66.4 million from $36.1 million year over year, while investing cash use fell to $13.6 million from $26.5 million.

Outlook, risks and contingencies

  • Management said enrollment targets had been surpassed in the pivotal Phase 3 LUMEOS trial of bota-vec for X-linked retinitis pigmentosa and expected a BLA submission in 2024. This is a target, not an assurance of submission or approval.
  • The company initiated a Phase 2 randomized, placebo-controlled AAV-hAQP1 study for radiation-induced xerostomia; management reported encouraging Phase 1 symptom and saliva-flow observations and anticipated presenting full data at a future medical meeting.
  • AAV-GAD Parkinson’s disease Phase 1 bridging-trial enrollment was anticipated to be completed in Q3 2023. The company also reported that its Shannon, Ireland quality-control facility had received commercial MIA authorization for QC testing.
  • Management expects R&D and G&A costs to rise as clinical programs, manufacturing capacity and public-company operations advance. The company expects continued losses and will require additional capital; future financing may dilute shareholders or be unavailable on acceptable terms.
  • Perceptive debt is secured by manufacturing facilities, certain cash and subsidiary interests and includes restrictive covenants. The company reported compliance at June 30, 2023, including having enrolled in the Phase 3 AAV-RPGR trial by the required date. A covenant also requires the Shannon facility to meet applicable GMP requirements by December 31, 2023.
  • On August 10, 2023, after quarter-end, the note agreement was amended to let the company request an additional $25 million tranche through August 2, 2024, subject to agreement terms; previously Perceptive had discretion over the request. The amendment also increased the early-redemption fee.
  • Key risks include clinical and regulatory uncertainty, manufacturing and GMP execution, reliance on Janssen collaboration funding, capital needs, variable-rate debt, and foreign-exchange exposure. The company estimated that a 10% unfavorable currency move would have increased first-half foreign-currency loss by approximately $28.6 million. No material legal proceedings or new material commitments or contingencies were reported.

Important facts for investors to verify

  • Whether LUMEOS enrollment, trial results and the targeted 2024 BLA submission remain on schedule, and what the final clinical and regulatory data show.
  • Actual cash burn, collection timing of the $32.7 million Janssen receivable, collaboration funding and the assumptions behind the projected runway into Q2 2025.
  • Shannon facility GMP readiness by the covenant deadline and any effects on clinical or manufacturing timelines.
  • Debt cost and covenant compliance: the 14.81% floating rate, collateral, early-redemption terms and availability and conditions of the potential $25 million tranche.
  • Share dilution from the private placement and outstanding equity awards, and the sensitivity of reported results and cash needs to currency movements.
