MIND Technology, Inc. — Form 10-K Summary
Reporting period: Fiscal year ended January 31, 2024. The source filing is an annual report, not a standalone 2023 fourth-quarter filing. Comparisons are primarily with the fiscal year ended January 31, 2023.
Business context
MIND provides marine technology for oceanographic, hydrographic, seismic, defense and maritime security applications. Following the August 21, 2023 sale of Klein Marine Products, Seamap Marine Products is the Company’s sole continuing operating segment. MIND also previously exited its land-based seismic equipment leasing business.
Seamap sells GunLink seismic source control systems, BuoyLink positioning systems, SeaLink marine sensors and streamer systems, related components and services. The Company operates principally in the United States, Singapore, Malaysia and the United Kingdom and employed approximately 145 people at January 31, 2024.

Fiscal 2024 revenue increased approximately 46% year over year, driven by higher Seamap product sales. Gross margin improved primarily because greater production volume increased absorption of fixed costs. Selling, general and administrative expense declined approximately 6% to $12.1 million following headcount and cost reductions, while research and development expense increased to $2.1 million to support the next-generation SeaLink product line.
Operating cash flow remained negative because of working-capital investment, including increases in accounts receivable, inventory and prepaid assets. Investing activities provided $11.0 million, principally from the Klein sale. Financing activities used $1.5 million, including approximately $0.9 million of preferred-stock dividend payments.
MIND had no funded debt at January 31, 2024. A $3.75 million secured loan carrying a 12.9% interest rate was repaid in full in August 2023 following the Klein sale. Operating lease liabilities totaled $1.3 million. The Company has no credit facility and no obligations containing maintenance-type financial covenants.
Material changes versus the prior comparable period
- Continuing-operations revenue rose from $25.0 million to $36.5 million, while operating results improved from a $5.7 million loss to $0.5 million of operating income.
- Adjusted EBITDA improved from a $3.4 million loss to $2.3 million of positive Adjusted EBITDA.
- Gross margin increased from 40% to 44%.
- Klein was sold for approximately $10.8 million of cash consideration, producing a gain of approximately $2.3 million and net proceeds of approximately $7.3 million after settlement of transaction-related amounts and debt.
- Discontinued operations generated $1.4 million of net income in fiscal 2024, compared with a $2.7 million loss in fiscal 2023, primarily because of the Klein sale gain. Klein revenue declined to $3.3 million from $10.1 million because fiscal 2024 included only seven months of activity.
- Seamap backlog increased approximately 145%, from $15.7 million at January 31, 2023 to $38.4 million at January 31, 2024. Management expects a substantial portion to be fulfilled in fiscal 2025.
- Customer concentration increased: the largest customer represented approximately 21% of fiscal 2024 consolidated revenue, and the five largest represented approximately 67%, compared with 47% for the five largest in fiscal 2023.
- The Company increased inventory obsolescence expense to approximately $341,000 and ended the year with $13.4 million of net inventory.
Outlook, risks and unusual items
Management expects fiscal 2025 revenue to exceed fiscal 2024 revenue and believes the Company can report net income from continuing operations and positive EBITDA if current backlog, inquiries and production schedules develop as expected. This is not a guarantee. Key execution risks include customer delivery delays or cancellations, supply-chain disruption, component shortages, higher costs and difficulty obtaining skilled labor and work permits.
Management cited favorable energy-price trends, improving marine seismic customer conditions and increasing demand related to marine wind farms, renewable-energy projects and carbon capture. Sea Serpent passive sonar arrays and Spectral Ai software are intended to expand the addressable market, but neither initiative had generated material revenue as of the filing date.
The Company continues to face going-concern and liquidity risks because of its history of operating losses and negative operating cash flow. Vendors may require prepayment, and rising production activity is increasing working-capital requirements. Management may reduce costs, seek financing secured by unencumbered Texas real estate, pursue a credit facility or issue securities if needed.
Quarterly dividends on the 9% Series A Preferred Stock have been deferred. Cumulative undeclared dividends totaled approximately $5.7 million at the filing date, and the preferred stock has a liquidation preference of approximately $47.7 million including accrued undeclared dividends. During the deferral period, MIND cannot pay common-stock dividends or redeem common shares. A proposed amendment to convert each preferred share into 2.7 common shares was subject to stockholder approval; the related special meeting was postponed.
Management identified a material weakness in internal control over financial reporting involving the existence of inventory at the Singapore subsidiary. The prior-period material weakness involving segment-reporting review controls was reported as remediated. The filing states that management nevertheless concluded the consolidated financial statements fairly present the Company’s financial position and results under U.S. GAAP.
Other material risks include dependence on international customers and operations, reliance on a limited number of customers and suppliers, sole-source components, exposure to oil and gas activity, export controls and sanctions, foreign exchange, cybersecurity, environmental regulation, product reliability and potential dilution from future equity issuance. No material legal proceedings were reported.
Important facts for investors to verify
- Whether the $38.4 million backlog converts into fiscal 2025 revenue on schedule and at expected margins.
- Whether operating cash flow turns positive as production and deliveries increase, given the $5.0 million fiscal 2024 cash outflow.
- The status and terms of the deferred Series A Preferred Stock dividends and the proposed 2.7-for-one conversion amendment.
- Whether the Singapore inventory-control material weakness is remediated and successfully tested.
- Customer concentration, including the largest customer’s approximately 21% revenue share and the five largest customers’ approximately 67% share.
- Availability of working-capital financing, given the absence of a credit facility and potential vendor prepayment requirements.
- Inventory valuation and obsolescence exposure, including $13.4 million of net inventory and a $1.5 million obsolescence allowance at January 31, 2024.
- Progress toward commercial revenue from Sea Serpent, Spectral Ai and defense or maritime-security applications.
