|---|---|---|
| Revenue | None | None |
| Research and development expense | $7.4 million | $10.5 million |
| General and administrative expense | $5.5 million | $5.5 million |
| Total operating expenses / operating loss | $12.9 million | $15.9 million |
| Other income, net | $0.7 million | $0.1 million |

| Cash used in operating activities | $9.0 million | $14.2 million |
R&D expense declined 29%, primarily due to lower clinical-trial setup and CRO costs and lower MHKDG research services, partly offset by higher clinical supply/logistics and share-based compensation. G&A was essentially flat. Higher other income mainly reflected $0.6 million of realized interest on cash investments. No operating margin is meaningful because the company had no revenue.
At March 31, 2023, cash and cash equivalents were $50.1 million, including $34.8 million of short-term debt securities classified as cash equivalents; short-term marketable debt securities were $12.9 million. Management cited total available cash, cash equivalents and short-term securities of $63.1 million and a $59.2 million excess of current assets over current liabilities. Total assets were $66.8 million and total liabilities $7.7 million. The filing reports no borrowings at quarter-end. Operating cash outflow was partly offset by $19.6 million of proceeds from maturities of short-term securities; cash increased by $10.6 million to $50.1 million.
Material developments, outlook and risks
- Management believes existing liquidity can fund operating expenses and capital expenditures through the end of 2024. It expects substantial operating losses for at least the next five years and will require additional funding; losses and spending may fluctuate with clinical-development timing.
- The Phase 2 MIRA trial of SLK in hidradenitis suppurativa completed enrollment in February 2023, with a primary endpoint readout expected in mid-2023. The Phase 2 ARGO psoriatic arthritis trial continued to meet enrollment targets. Management expects costs to rise significantly as programs advance toward Phase 3.
- Clinical and non-clinical research, drug manufacturing and technology-transfer agreements carried $28.5 million of unrecognized commitments at quarter-end, including $20.1 million due within one year. The SLK license also carries potential milestone payments of up to €299.6 million (stated as $325.9 million at the quarter-end exchange rate) and royalties in the low-to-mid-teen percentage range of net sales.
- Key risks include dependence on SLK, clinical and regulatory uncertainty, lack of product revenue, and the need to raise additional capital. The company cautions that trials may be delayed, require additional spending or fail, and that insufficient financing could force development cuts or relinquishment of rights. It reported no material changes to the risk factors in its prior annual report.
- Subsequent to quarter-end, certain holders converted shares. On May 11, 2023, MoonLake entered an at-the-market sales agreement permitting up to $200 million of Class A ordinary shares to be sold; it is not obligated to sell shares. Proceeds, if any, are intended for general corporate purposes, and the agent’s commission may be up to 3% of gross sales.
- Management concluded disclosure controls and procedures were effective at the reasonable-assurance level as of March 31, 2023; no material change in internal control over financial reporting was reported. The company reported no material legal proceedings.
Important facts for investors to verify
- Whether the MIRA readout and ARGO enrollment progress met the stated expectations, and what the clinical data imply for later-stage development.
- Whether the reported $63.1 million liquidity runway remains sufficient through the end of 2024 given trial, manufacturing and other spending.
- Actual timing and amounts of ATM share sales, if any, and resulting dilution.
- Timing and probability of the $28.5 million contractual commitments and the much larger contingent license milestones and royalties.
- Share-count and loss-per-share comparability: Class C shares carry voting rights but no economic rights unless converted; the filing also describes subsequent conversions after quarter-end.
