Operating cash flow was positive primarily because the company collected a $6.0 million receivable related to a prior-period licensing milestone and benefited from working-capital changes. Financing activities generated $4.16 million, including $3.80 million of net common-stock issuance proceeds and $0.36 million from warrant exercises. Investing cash use was immaterial at $3,523.

MediciNova reported no outstanding debt and only $628 of interest expense in 2014. It had total liabilities of $5.26 million, including $1.96 million of deferred tax liability and $1.69 million of deferred revenue. Accumulated deficit was $310.6 million at December 31, 2014.

Fourth-quarter 2014 revenue was zero, operating expenses were $2.38 million, and net loss was $2.38 million, or $0.10 per share. The comparable fourth quarter of 2013 included $6.0 million of revenue and $3.41 million of net income from the licensing milestone.

Material changes versus the prior comparable period

  • Revenue fell to zero from $6.0 million because the 2013 licensing milestone was nonrecurring. The company recognized no revenue from the remaining Kissei research and development services in 2014.
  • Operating expenses declined 8%, with lower general and administrative costs and lower patent expenses partly offset by higher external development spending for MN-166 and MN-001.
  • Despite lower operating expenses, the net loss more than doubled because 2013 included the $6.0 million licensing milestone.
  • Research and development spending shifted toward MN-166 and MN-001. MN-166 external development expense increased to $1.07 million from $0.85 million, while MN-001 increased to $0.42 million from $0.14 million.
  • Common shares outstanding increased to 24.44 million from 22.50 million, reflecting equity issuance and warrant and option exercises.
  • In August 2014, the Chinese government approved the departure of Zhejiang Medicine from the company’s joint venture. MediciNova and Beijing Medfron each held 50% of Zhejiang Sunmy at year-end, but no sublicense for MN-221 had been executed.

Guidance, outlook, commentary and risks

  • Management expected approximately $9.5 million of cash at March 31, 2015 and planned to spend approximately $7.1 million from April 1 through December 31, 2015. Management stated that working capital was expected to fund operations through March 31, 2016.
  • Management expected research and development expense to increase in 2015 as focus on MN-001 and MN-166 expanded. The company anticipated continued substantial losses for the foreseeable future.
  • Additional financing, equity sales, strategic alliances or asset monetizations were expected to be necessary. If financing is unavailable, the company stated it may need to sell programs or cease operations.
  • As of December 31, 2014, outstanding warrants could provide up to approximately $11.9 million of gross proceeds if exercised, although there was no assurance they would be exercised.
  • MN-166 trials remained ongoing, including the SPRINT-MS Phase 2 trial, ALS trial, methamphetamine dependence trial, opioid dependence trial and alcohol dependence trial. The ALS trial began enrolling in October 2014 and subsequently reached 30 of 60 planned subjects by February 2015.
  • MN-001 generated positive preclinical results in NASH and pulmonary fibrosis models. The FDA had agreed that Phase 2 studies could proceed for NASH and IPF; the FDA granted orphan-drug designation for IPF in October 2014.
  • Further MN-221 development was dependent on finding a financial partner. The FDA indicated that a clinical outcome such as reduced hospitalizations would need to be a pivotal endpoint.
  • Key risks include clinical-trial failure or delay, regulatory nonapproval, adverse safety findings, limited patent protection, dependence on licensors and third-party manufacturers, inability to secure strategic partners or financing, dilution from future equity issuance, competition, product liability and potential inability to continue operations.
  • Potential future license milestone payments totaled $10.0 million for products currently in development and $50.8 million for other products, with timing dependent on development and commercialization events.
  • The financial statements received an unqualified audit opinion, and management and Ernst & Young concluded that internal control over financial reporting was effective as of December 31, 2014.

Important facts for investors to verify

  • Verify the company’s cash runway against actual 2015 spending, subsequent equity sales and the timing and terms of any additional financing.
  • Verify enrollment, interim results, safety data and regulatory milestones for MN-166 and MN-001, particularly the ALS, progressive MS, NASH and IPF programs.
  • Assess the likelihood and economics of strategic partnerships, especially for MN-221 and later-stage development of other candidates.
  • Review the nonrecurring nature of 2013 revenue and confirm that no product revenue is expected in the foreseeable future absent licensing or milestone transactions.
  • Evaluate dilution from the at-the-market equity facility, outstanding warrants, stock options and convertible preferred stock.
  • Review license obligations, patent expirations and the company’s limited composition-of-matter protection for MN-166 and MN-001.
  • Confirm the status of the Zhejiang Sunmy joint venture and whether the contemplated MN-221 sublicense in China is executed.
