Marqeta, Inc. — FY2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. The filing also presents unaudited fourth-quarter results. Amounts below are in U.S. dollars.
Business context
Marqeta provides a cloud-based, open-API card issuing and payment processing platform. Revenue is primarily transaction-based interchange revenue, net of revenue share paid to customers. Its business is highly exposed to customer processing volumes, transaction mix, card-network pricing and incentives, and a small number of large customers.

Fourth quarter: Revenue was $155.4 million, versus $88.2 million in Q4 2020. Gross profit was $75.8 million; net loss was $36.8 million. The filing provides quarterly figures but does not give a single Q4 year-over-year growth rate in the text.
Costs and margins: Costs of revenue rose 66% to $285.5 million, slower than TPV growth, and gross margin benefited in part from $14.8 million of additional card-network incentives. Compensation and benefits increased 145% to $318.1 million, including $142.7 million of share-based compensation. Technology expense rose 154% to $33.6 million.
Liquidity and capital: At year-end, cash and cash equivalents were $1.25 billion and marketable securities were $452.9 million; together with restricted cash, reported cash resources were approximately $1.71 billion. The IPO generated $1.3 billion of net proceeds. Management said existing cash and marketable securities were sufficient for working capital and capital expenditure needs for more than 12 months. The balance sheet lists no borrowings; operating lease liabilities were $15.4 million.
Material changes versus the prior period
- Revenue rose 78%, with $152.6 million of the increase attributable to Block. TPV grew 85%; management attributed growth mainly to digital banking and buy-now-pay-later customers.
- Revenue from customers outside the top five grew 230%, compared with 70% TPV growth for the top five customers, though Block still represented 69% of revenue.
- Gross margin improved from 41% to 45%, including the effect of network incentives and lower bank fees as volume tiers were reached.
- Net loss widened substantially, driven in part by higher operating costs and a sharp increase in share-based compensation. The IPO triggered $23.1 million of cumulative RSU expense for awards that had service-vested.
- IPO proceeds increased year-end liquidity materially. Investing cash outflow also rose, principally from purchases of marketable securities and a $20.0 million equity-method investment and purchase option.
Outlook, risks and unusual items
- Outlook: No numerical revenue or earnings guidance is provided. Management expects operating expenses to increase and operating losses to continue for the foreseeable future, while investing in products, infrastructure, and international expansion. It notes that gross margin may be pressured by rising customer revenue-share rates, although better pricing with banks and networks may partly offset this.
- Customer concentration: Block generated 69% of FY2021 revenue. Block’s acquisition of Afterpay, another Marqeta customer, could increase concentration. The filing warns that customer contracts generally lack minimum volume commitments and may be terminable.
- Partner concentration: Sutton Bank settled 90% of FY2021 TPV. Disruption to this relationship or a need to migrate volume could be costly and operationally difficult.
- Contingencies and commitments: Non-cancellable purchase commitments totaled $263.8 million over five years, including $255.0 million for cloud services. The company disclosed a potential $6.2 million state and local indirect-tax liability if authorities disagree with its conclusions; no liability was recorded because the company did not consider it probable. It reported no legal contingencies expected to have a material adverse effect.
- Other key risks: Interchange-rate and network-rule changes, transaction mix, competition, platform outages and cyber incidents, evolving financial and privacy regulation, COVID-19 effects, and execution of international expansion. Management said COVID-related stimulus likely contributed to FY2021 TPV and revenue growth, while on-demand delivery volume slowed in the second half.
- Controls and governance: Management reported effective disclosure controls and said a 2019 material weakness involving settlement-account reconciliations was remediated by year-end 2021. Neither management nor the auditor performed a Section 404 internal-control effectiveness evaluation for this filing. Class B shares carry ten votes per share; insiders and affiliates held 68% of voting power at year-end.
