Material Changes Versus the Prior Comparable Period

  • Revenue decreased $48.4 million, primarily reflecting a softer freight market and lower fuel surcharge revenue, which declined to $33.9 million from $43.1 million.
  • Truckload revenue declined 7.5%; revenue net of fuel surcharges declined 7.1%. Operating income fell to $0.5 million from $10.0 million, and the operating ratio worsened to 99.6% from 91.7%.
  • Dedicated revenue declined 18.8%, with lower average fleet size and revenue per tractor. Operating income decreased to $9.3 million from $13.7 million.
  • Intermodal revenue declined 44.1% because of fewer loads and lower revenue per load. The segment generated a $0.2 million operating loss versus $0.8 million of operating income, and its operating ratio rose to 101.2% from 97.2%.
  • Brokerage revenue declined 15.7%, primarily due to lower revenue per load. Operating income declined to $2.7 million from $4.5 million.
  • Salaries, wages and benefits declined 9.9%, purchased transportation declined 22.7%, fuel and fuel taxes declined 15.5%, and insurance and claims declined 22.6%. These savings were more than offset by lower revenue and reduced operating leverage.
  • The gain on disposition of revenue equipment declined to $1.2 million from $5.2 million, also pressuring earnings.
  • No shares were repurchased during the quarter. Up to $33.2 million, or approximately 2.2 million shares, remained available under the repurchase program at March 31, 2024.

Guidance, Outlook, Risks and Unusual Items

Management expects approximately $135 million of net capital expenditures for the remainder of 2024. Commitments included $185.3 million of new revenue-equipment purchases and $1.6 million of construction obligations. Operating lease expenditures through 2028 totaled $485,000.

Management stated that existing cash, expected operating cash flow, borrowing availability and other financing sources should be adequate for current needs for at least the next twelve months, with no significant liquidity constraints anticipated in the foreseeable future. Management currently expects to continue quarterly cash dividends, subject to future board approval and financial conditions.

Key operating risks include a soft freight market, economic conditions, customer demand, truck and rail capacity, driver availability, severe weather, fuel prices and equipment costs. A 5% increase in average diesel prices would have increased Q1 2024 fuel expense by approximately $1.9 million based on the company’s fuel consumption. Fuel surcharge programs recover a substantial portion of fuel increases but do not fully offset fuel used for non-revenue miles or idling.

The company self-insures portions of workers’ compensation, auto liability, general liability, cargo, property damage and health claims. Significant changes in claim frequency or severity, uninsured losses, inadequate insurance coverage or higher premiums could materially affect results. Management stated that existing litigation and claims are not expected to have a material adverse effect based on current information, while noting that wage-and-hour litigation and other claims can remain uncertain.

There were no material changes to previously disclosed risk factors or critical accounting estimates. Management concluded that disclosure controls and procedures were effective as of March 31, 2024, with no material changes to internal control over financial reporting.

Important Facts for Investors to Verify

  • Whether freight-market softness and lower revenue per tractor, load and mile persist during the remainder of 2024.
  • Progress toward restoring Truckload and Intermodal profitability, particularly given operating ratios of 99.6% and 101.2%, respectively.
  • Execution of the planned approximately $135 million of remaining 2024 net capital expenditures and the related effect on cash balances.
  • Equipment replacement commitments of $185.3 million and the potential impact of equipment pricing on future depreciation.
  • Availability under the revolving credit facility after considering $20.7 million of standby letters of credit and compliance with financial covenants.
  • Developments in self-insured claims, wage-and-hour litigation and other contingencies.
  • The sustainability of the $0.06 quarterly dividend and any future share repurchases given reduced earnings and planned capital spending.
