Product sales were $4.270 million, SaaS and related services $0.784 million, and ancillary services $0.376 million. SaaS revenue more than doubled year over year but remained a small portion of total revenue. Management-reported non-GAAP Adjusted EBITDA was a loss of $4.911 million, versus a loss of $8.760 million in 2022; this measure excludes significant items and is not a substitute for GAAP results.

Balance sheet and funding

At December 31, 2023, total assets were $16.372 million and total liabilities were $16.640 million, leaving a shareholders’ deficit of $0.268 million. Current assets were $12.513 million and current liabilities $10.757 million; however, management also cites negative working capital after excluding deferred transaction costs and other current assets it says are not settled in cash. The company reported recurring losses, negative operating cash flow and substantial doubt about its ability to continue as a going concern for the next 12 months. Its plans to raise capital and control expenses are not assured.

The company issued $6.805 million of convertible notes in connection with the business combination, including $4.5 million of cash proceeds and amounts rolled over from prior debt. Notes mature in December 2026, bear 9% annual interest (or 11% if paid in shares), and are convertible at the holders’ option at $10 per share. Nonpayment of interest triggers a 15% rate. Year-end debt also included a $0.622 million line-of-credit balance and $0.575 million related-party and $0.200 million Legacy SMAP promissory-note balances. The filing schedules $1.397 million of debt principal for 2024 and $6.805 million for 2027. The former $18.5 million shareholder note was converted into equity.

Material changes and unusual items

  • Revenue fell 25%, primarily due to lower unit volumes, especially higher-priced UAV and fixed-mount systems, and the company’s exit from biorisk and direct veterinary product sales. Management described its traditional industrial business as relatively steady.
  • Gross margin declined to 27%, including a $1.689 million inventory write-down charged to cost of goods sold. Management said the write-down reduced 2023 margin by approximately 31 percentage points.
  • SG&A rose 62% to $22.105 million. The filing attributes the increase principally to $13.4 million of additional share-based compensation; total 2023 share-based compensation expense was $14.061 million.
  • Net loss included a $4.043 million financing-transaction loss, a $2.401 million tariff refund, and noncash fair-value gains of $0.970 million on convertible notes and $0.195 million on warrant liabilities.
  • Cash increased by $0.501 million, supported by financing cash flow, despite $4.551 million of operating cash use and $1.512 million of investing cash use.
  • One customer generated 44% of 2023 revenue, compared with 17% for the top customer concentration cited for 2022; one customer represented 82% of year-end receivables.

Outlook, risks and contingencies

Management plans to invest in SaaS, product development, sales and marketing, customer expansion, distribution partners and potential acquisitions. The filing provides no formal financial guidance. Management estimates a $14 billion U.S. total addressable market across its target sectors and says current penetration is below 0.1%; these are estimates, not reported sales or contracted demand.

Management describes prospective customer rollouts as opportunities, not guaranteed revenue. The filing discusses an ecommerce customer expansion involving about 650 subscriptions and approximately $2.3 million in annual recurring revenue, as well as a potential deployment at about 700 sites and an estimated $30 million ARR opportunity. However, it dates the relevant contract to the fourth quarter of 2024, after the March 29, 2024 filing date; investors should verify the date and status. An automaker customer’s potential 12-site rollout by mid-2025 and estimated $2.5 million ARR are also subject to customer decisions and implementation risks.

  • Going concern: The auditor’s opinion on the financial statements was unqualified, but included a going-concern emphasis. Management’s proposed financing and cost controls do not alleviate substantial doubt.
  • Nasdaq listing: Nasdaq had commenced delisting procedures after the company did not meet specified initial-listing requirements and received a separate minimum-market-value notice. At a March 24, 2024 hearing, the company sought an exception through May 15, 2024; the filing says there is no assurance the request or compliance plan will succeed.
  • Financial reporting controls: Management concluded disclosure controls were ineffective at December 31, 2023 and identified material weaknesses related to insufficient accounting and internal-control personnel and expertise. Remediation was ongoing; management did not provide an assessment of internal-control effectiveness.
  • Dilution and financing: Convertible notes, interest payable in shares, warrants, restricted stock units and equity-plan awards may dilute existing shareholders. The company reported 1.886 million outstanding RSUs at year-end, and substantial warrant exercise proceeds are not included in its operating funding plans.
  • Other risks: Long sales and implementation cycles, customer and supplier concentration, product adoption and pricing, inventory estimates, competition, access to additional capital, cybersecurity, export controls and regulation may affect results. The filing reports no material pending legal proceedings and no off-balance-sheet arrangements at year-end.

Important facts for investors to verify

  1. Current cash runway, financing needs and progress on actions to address the going-concern uncertainty.
  2. Nasdaq hearing outcome and whether the company met applicable listing requirements by the requested deadline.
  3. The reported fourth-quarter 2024 ecommerce contract date, and the actual rollout, renewals, subscription count and revenue recognized.
  4. Whether the 2023 inventory write-down is complete and whether further write-downs, margin pressure or inventory cash requirements are likely.
  5. Customer concentration, receivable collection and the conversion of pilots and prospective rollouts into binding, recurring revenue.
  6. Remediation and testing of material weaknesses, plus potential dilution and cash or share interest obligations under the financing notes.
