| Cash from operations | $596,541 | $519,636 |
- Revenue increased 20.5%. Perishable sales rose 19.7% and non-perishable sales 21.7%. Management attributed the increase chiefly to approximately $3.3 million of revenue from the Monterey Park supermarket acquired in 2022; sales at the other three stores declined by about $0.9 million combined.
- Gross margin improved 2.4 percentage points. Management cited 3%–5% product price increases and improved purchasing and store management at El Monte and Monrovia.
- Operating expenses rose 17.6% to $3.32 million. General and administrative expense increased 60.9%, primarily reflecting higher IPO-related legal, audit and consulting costs; selling expense increased 4.4%.
- Net loss narrowed, but the quarter included a $383,161 employee retention credit (ERC), a government tax credit related to the pandemic period, and a $28,456 equity-method investment loss. The ERC is not a recurring operating revenue source.
- Cash and equivalents were $1.61 million at July 31, down from $2.57 million at April 30. Operating cash inflow was outweighed by $1.45 million of investing outflows, mainly the Arcadia investment, and $101,417 of debt repayments.
- Working capital was in deficit by approximately $1.44 million. Total current assets were $6.70 million and current liabilities $8.14 million.
- Loans payable totaled $2.83 million, including approximately $227,000 owed to American First National Bank and $2.60 million to the SBA; the company also had a $150,000 demand note bearing 10% interest. Operating lease liabilities were $24.03 million. Total liabilities were $33.08 million.
Changes, outlook and risks
- Management said cash and operating cash flows should fund the existing business for at least 12 months from issuance, but noted that additional financing may be needed for changed conditions or growth. Planned expansion is expected to require $35–$40 million in total, including $13–$16 million within 12 months. Plans include additional California and East Coast stores and a New York warehouse; funding may include IPO proceeds, debt or equity, with no assurance financing will be available on favorable terms.
- Management reported American First National Bank debt-service coverage ratios of 0.54 for Monrovia and 0.88 for San Gabriel, below the 1.30 covenant threshold. The filing says the existing loan treatment was unchanged, while an earlier covenant violation had led to a loan balance being classified as current.
- Supplier concentration is significant: two suppliers represented 34% and 19% of purchases in the quarter. The filing also describes related-party transactions and investments involving entities associated with CEO John Xu and his spouse, including the Arcadia investment.
- Management cited competition, inflation and labor costs as operating pressures. It also noted declining sales at the three established stores, in part due to nearby competitors, customers returning to pre-pandemic shopping patterns and reduced online purchases.
- Disclosure controls and procedures were deemed ineffective as of July 31, 2023. Reported material weaknesses include insufficient U.S. GAAP accounting expertise, inadequate related-party monitoring and inventory controls, weaknesses in control procedures and IT controls, and insufficient segregation of accounting duties. Management described hiring, training and outside CPA support as remediation steps.
- The company reported a $237,000 accrued legal matter and other ordinary-course claims; management does not expect pending proceedings to have a material adverse effect. It also disclosed $114,561 of uncertain tax positions and plans to amend tax returns. No formal earnings guidance was provided.
