Quarterly operating performance improved, but net income declined as income tax expense rose to $11.7 million from $1.6 million. The prior-year six-month net income included a $118.2 million gain on sale of an equity-method investment, making the year-over-year net income comparison unusual. The six-month effective tax rate was 27.8%, compared with 1.8% a year earlier; management cited GILTI and Section 174-related tax effects, nondeductible compensation and state taxes, partly offset by foreign-rate differences and R&D credits.

By market, quarterly revenue was $53.9 million in Telecom (down 14.4%), $77.2 million in Industrial & Defense (up 15.0%), and $38.3 million in Data Center (up 9.2%). Telecom softness reflected lower 5G-related sales. Industrial & Defense growth reflected defense-program shipments and expansion of high-performance analog products. Data Center growth was led by legacy connectivity products, partly offset by weaker optical and high-performance analog product sales.

Liquidity, debt and balance sheet

  • At March 31, 2023, cash and cash equivalents were $136.6 million and short-term investments were $440.7 million, totaling $577.3 million in these liquid resources.
  • Current assets were $848.3 million and current liabilities were $91.2 million. Inventory was $131.9 million, up from $115.0 million at September 30, 2022.
  • Long-term debt carrying value was $566.7 million: $120.8 million of term loans due May 2024 and $450.0 million of 0.25% convertible notes due March 2026. The term loans bear variable interest; their effective rate was 6.88% at quarter-end.
  • Six-month investing cash outflow was $25.0 million, including $50.8 million net cash for the Linearizer acquisition and $15.6 million of capital expenditures. Financing cash outflow was $29.5 million, primarily employee equity-award tax withholdings.

Management said cash, short-term investments and operating cash generation should cover working-capital needs for at least the next 12 months. It also noted that additional capital could be needed from time to time, with no assurance it would be available on favorable terms.

Material developments, outlook and risks

  • MACOM completed its acquisition of Linearizer Technology on March 3, 2023 for approximately $51.6 million in cash. Purchase accounting remains preliminary; acquired operations were not material to reported results.
  • A proposed acquisition of OMMIC SAS for approximately €38.5 million was expected to close during fiscal 2023, subject to approvals and closing conditions.
  • Management expects second-half fiscal 2023 revenue to be negatively affected by macroeconomic conditions and weaker near-term demand. The filing does not provide a revenue or earnings forecast. Management estimated an approximately 30% annual effective tax rate for fiscal 2023, subject to discrete items.
  • Key exposures include demand weakness, particularly in Telecom; variable-rate term-loan interest and the transition from USD LIBOR; investment and bank-deposit credit, liquidity and market risks; and acquisition integration, valuation and execution risks. The filing reports no material pending legal proceedings and no material changes to previously disclosed risks other than expanded acquisition-related and investment-portfolio risk disclosures.

Important facts for investors to verify

  • Whether weaker near-term demand develops as management expects, and how Telecom, Industrial & Defense and Data Center sales subsequently trend.
  • Completion and integration of the OMMIC transaction, and final purchase-price allocation for Linearizer.
  • Cash conversion and working-capital trends, including receivables and inventory growth.
  • Refinancing or repayment plans for the $120.8 million term-loan balance due in May 2024, and the effect of variable rates.
  • Whether the estimated fiscal 2023 tax rate and deferred-tax-asset assumptions remain appropriate.
