Revenue grew 14.5% year over year despite the shorter fiscal year. Gross margin increased 530 basis points, which management attributed to higher sales, favorable mix, production efficiencies, and lower depreciation and amortization. Operating expenses fell to $260.9 million from $266.8 million. FY2021 net income included $38.1 million of total other expense, including $11.1 million of warrant-liability expense and $4.4 million of debt-extinguishment losses.

Markets and material changes

MarketFY2021 revenueChange from FY2020
Telecom$188.4 million (31.0% of revenue)Down 10.1%
Industrial & Defense$280.2 million (46.2%)Up 44.1%
Data Center$138.3 million (22.8%)Up 9.8%

I&D growth reflected new program wins and expansion of RF and microwave product lines. Telecom declined mainly on lower carrier optical product sales, including products targeting 5G, partly offset by legacy product and licensing revenue. Data Center growth reflected increased sales of high-performance analog and optoelectronics products. FY2019 had a $264.8 million impairment charge; none was recorded in FY2021 or FY2020.

Cash, debt, and liquidity

Operating cash flow was $148.4 million, down from $171.4 million, primarily amid a $38.7 million increase in receivables from sales timing. Cash and short-term investments totaled $344.9 million at year-end. Principal debt outstanding was $570.8 million: $120.8 million under term loans due May 2024 and $450.0 million of 0.25% convertible notes due March 2026. The balance-sheet carrying amount of long-term debt was $492.1 million after discounts and financing costs. MACOM prepaid $543.6 million of term loans during FY2021, funded substantially by convertible-note proceeds. The $160 million revolving facility expired undrawn on November 8, 2021. Management said cash, investments, and expected operating cash flow should cover working capital needs for at least the next 12 months.

Outlook, risks, and unusual items

  • Management identified 5G deployments and network upgrades, broader I&D product offerings, and cloud adoption and faster data-center interconnects as expected growth drivers. The filing provides no quantified revenue or earnings guidance.
  • COVID-19 had not materially affected consolidated operating results through FY2021, but its future impact remained uncertain. The company cited semiconductor component shortages and shipment delays.
  • Key risks include demand and inventory forecasting, supply constraints and reliance on sole-source suppliers, product development and qualification, cyclical markets, pricing pressure, and competition. Distributor sales were 35.0% of revenue; Richardson accounted for 10.7%. International sales were 54.2%, with significant exposure to China and Asia Pacific.
  • The term loans are secured by a first-priority lien on substantially all company and domestic-subsidiary assets and include restrictive covenants. Convertible-note conversions or a fundamental change could require significant cash payments. The company does not intend to pay cash dividends in the foreseeable future.
  • The Omega Chemical Site environmental remediation accrual was described as not material, but could increase. MACOM reported no material pending legal proceedings. Deloitte issued unqualified opinions on the financial statements and internal control; inventory excess and obsolescence reserves were identified as a critical audit matter.

Investor verification points

  • Check the durability and customer/program concentration behind rapid I&D growth, and whether Telecom weakness persists.
  • Review inventory reserve assumptions and demand visibility; net inventory was $82.7 million, and the auditor highlighted estimation of excess and obsolete inventory.
  • Track receivables, collections, and operating cash conversion following the FY2021 receivables increase.
  • Confirm post-expiration revolving-credit arrangements, debt service and refinancing capacity, and potential cash exposure from convertible-note conversions.
  • Monitor semiconductor supply availability, China/export restrictions, and distributor and end-customer concentration.
